Recitals

WHEREAS, the Cafe agrees to provide certain services to the Customer, and the Customer agrees to pay for these services under the terms and conditions set forth in this Contract.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

I. Services

  1. Scope of Services:

The Cafe agrees to provide the following services to the Customer:

  • Provision of food and beverages as per the menu.

  • Catering services for events as agreed upon in written orders.

  • Use of cafe premises for meetings and events, subject to availability and prior reservation.

  1. Quality Assurance:

The Cafe guarantees that all services will be rendered in a professional manner, with food and beverages prepared according to industry standards and health regulations.

II. Payment Terms

  1. Service Fees:

The Customer agrees to pay the Cafe the following fees for services rendered:

  1. Deposit:

For catering and event services, a non-refundable deposit of [Amount] is required upon confirmation of the booking.

  1. Payment Schedule:

  • A la carte services: Payment is due immediately upon receipt of services.

  • Catering services: 50% of the total fee is due upon booking, with the remaining balance due on the day of the event.

  • Event reservations: 30% of the total fee is due upon booking, with the remaining balance due no later than 7 days prior to the event.

  1. Late Payment Penalty:

Payments not received by the due date will incur a late fee of [Percentage]% per month on the outstanding balance.

III. Cancellations and Refunds

  1. Cancellation by Customer:

  • Event reservations: If the Customer cancels more than 30 days before the event, 70% of the deposit will be refunded. No refund will be issued for cancellations within 30 days of the event.

  1. Cancellation by Cafe:

The Cafe reserves the right to cancel any service with a full refund to the Customer if unforeseen circumstances arise that prevent the Cafe from fulfilling its obligations.

IV. Responsibilities of the Parties

  1. Customer Responsibilities:

The Customer agrees to:

  • Provide accurate and timely information necessary for the Cafe to perform its services.

  • Make timely payments as outlined in this Contract.

  • Abide by all cafe policies and procedures during the use of cafe premises.

  1. Cafe Responsibilities:

The Cafe agrees to:

  • Perform the services with reasonable care and skill.

  • Communicate any changes or issues that may affect the services promptly to the Customer.

  • Ensure the premises are clean and safe for use.

V. Dispute Resolution

  1. Mediation:

In the event of any dispute arising out of or relating to this Contract, the parties agree to first attempt to resolve the dispute through mediation before resorting to any other dispute resolution procedure.

  1. Arbitration:

If mediation fails, the dispute shall be settled by arbitration in accordance with the rules of the [Arbitration Association], and the decision of the arbitrator shall be final and binding on both parties.

VI. Term and Termination

  1. Term:

This Contract shall commence on the effective date and continue until all services have been rendered and all payments have been made unless earlier terminated as provided herein.

  1. Termination for Cause:

Either party may terminate this Contract immediately by giving written notice to the other party if:

  • The other party commits a material breach of any term of this Contract and fails to cure such breach within 10 days after receipt of written notice of the breach.

  • The other party becomes insolvent or bankrupt.

VIII. General Provisions

  1. Governing Law:

  1. Entire Agreement:
