1. Services and Pricing

2. Payment Terms
2.1 Total Price and Payment Deadline: The Client agrees to pay the total price of $500 in full within thirty (30) days from the date of acceptance of this Contract. This total price includes all applicable taxes, fees, and surcharges. Failure to make payment within the specified time frame may result in late fees or cancellation of the Contract at the discretion of the Cafe.
2.2 Payment Methods: Payment shall be made in US dollars via bank transfer. The Cafe reserves the right to require a 50% deposit or advance payment before providing the services outlined in the Quotation.
2.3 Late Payment: Any additional costs incurred by the Cafe as a result of late payment shall be the responsibility of the Client. The Client acknowledges that all payments are non-refundable once the services have been provided, except in cases where the Cafe fails to deliver the agreed-upon services.
3. Validity and Acceptance
3.1 Quotation Validity: This Quotation is valid until [Expiry Date], after which the prices and terms may be subject to change. The total price for the items or services listed in the Quotation is $500. This price includes all applicable taxes, fees, and surcharges. The Client shall accept the Quotation by signing and returning a copy of this Contract to the Cafe before the expiry date.
3.2 Acceptance Process: The Client understands that acceptance of the Quotation constitutes a binding agreement between the Client and the Cafe, and signifies the Client's agreement to the terms and conditions outlined in this Contract. Any changes or modifications to the Quotation must be agreed upon in writing by both Parties.
3.3 Cafe's Rights: The Cafe reserves the right to withdraw the Quotation if the Client fails to accept it before the expiry date, or if there are changes to the services requested by the Client that significantly impact the terms of the Quotation.
4. Revision of Quotation
4.1 Changes to Services: The Cafe reserves the right to revise the Quotation in the event of changes to the items or services requested by the Client. This may include additions, deletions, or modifications to the original scope of work outlined in the Quotation.
4.2 Communication of Revisions: Any revisions to the Quotation shall be communicated to the Client in writing. This communication shall include a detailed explanation of the changes, as well as any impact on pricing, timelines, or other terms and conditions.
4.3 Client's Acceptance: Revisions to the Quotation shall require the Client's acceptance before they can be implemented. The Client shall indicate their acceptance in writing, either by signing a revised Quotation or by providing written confirmation of their acceptance.
4.4 Impact on Contract: Upon acceptance of the revised Quotation, the changes shall become part of the Contract and shall supersede any previous agreements or understandings between the Parties regarding the services to be provided.
4.5 Timing of Revisions: The Cafe shall make every effort to communicate any revisions to the Quotation in a timely manner, taking into account the Client's deadlines and requirements. However, the Cafe cannot be held responsible for delays in communication due to factors beyond its control.
4.6 Client's Rights: The Client retains the right to reject any revisions to the Quotation that are not acceptable to them. In such cases, the Parties shall work together in good faith to find a mutually agreeable solution.
5. Termination
5.1 Termination by Either Party: Either Party may terminate this Contract upon written notice to the other Party if the other Party breaches any material term or condition of this Contract and fails to remedy such breach within [Number] days of receiving written notice of the breach.

a. is or becomes publicly available through no fault of the receiving Party;
b. is rightfully obtained by the receiving Party from a third party without breach of any confidentiality obligation; or
c. is independently developed by the receiving Party without reference to the disclosing Party's confidential information.
6.3 Survival: The obligations of confidentiality shall survive the termination or expiration of this Contract for a period of [Number] years.
7. Force Majeure
7.1 Definition: Neither Party shall be liable for any failure or delay in performing its obligations under this Contract to the extent such failure or delay is caused by an event beyond the reasonable control of the Party, including but not limited to acts of God, war, terrorism, civil unrest, government action, natural disasters, or labor disputes.
