Cafe Maintenance Contract

This Cafe Maintenance Contract (hereinafter referred to as the "Contract") is entered into on this [Date], by and between [Your Company Name], [Your Company Address] (hereinafter referred to as the "Cafe Owner"), and [Service Provider Name], [Service Provider Address] (hereinafter referred to as the "Service Provider").

WHEREAS, the Cafe Owner operates a cafe located at [Your Company Address], and requires regular maintenance services to ensure the smooth and efficient operation of the cafe;

AND WHEREAS, the Service Provider is engaged in the business of providing maintenance services and has agreed to perform such services for the Cafe Owner under the terms and conditions set forth in this Contract;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

I. Scope of Services

A. General Maintenance: The Service Provider shall perform routine cleaning, inspection, and minor repairs of the cafe premises. This includes sweeping, mopping, dusting, and trash removal on a daily basis.

B. Equipment Maintenance: The Service Provider shall service and repair cafe equipment including coffee machines, ovens, and refrigerators. Regular servicing shall be performed bi-monthly, with additional repairs as needed.

C. Plumbing and Electrical Maintenance: The Service Provider shall maintain plumbing and electrical systems. This includes monthly inspections and necessary repairs to ensure all systems are functioning properly.

D. Emergency Services: The Service Provider shall provide emergency maintenance services for urgent repairs. The Service Provider must be available 24/7 for such emergencies, with a response time of no more than 2 hours.

II. Service Schedule

A. Frequency: Routine maintenance tasks shall be conducted daily. Equipment servicing shall occur bi-monthly, and plumbing and electrical inspections shall be conducted monthly.

B. Detailed Schedule: Routine maintenance shall be performed every day from 7:00 AM to 9:00 AM. Equipment servicing shall occur on the 1st and 15th of each month. Plumbing and electrical inspections shall be conducted on the last Friday of each month.

C. Flexibility Clause: The schedule may be adjusted with mutual agreement between the Cafe Owner and the Service Provider. Any changes must be communicated at least 48 hours in advance.

III. Performance Standards

A. Quality Assurance: The Service Provider shall ensure all maintenance services meet high standards of quality. Inspections will be conducted weekly by the Cafe Owner to ensure compliance.

B. Compliance: The Service Provider must adhere to all relevant health, safety, and local regulations. Failure to comply may result in termination of the Contract.

C. Reporting: The Service Provider shall provide a detailed maintenance report at the end of each month, documenting all services performed, issues found, and actions taken.

IV. Duration and Termination

A. Contract Duration: This Contract shall commence on [Start Date] and remain in effect for a period of one year.

B. Renewal Terms: The Contract may be renewed for additional one-year terms upon mutual agreement of both parties. Renewal discussions should begin at least 30 days prior to the end of the current term.

V. Payment Terms

A. Fees: The Cafe Owner agrees to pay the Service Provider a fixed fee of $2,000 per month for the services outlined in this Contract.

B. Payment Schedule: Payments shall be made monthly, on the 1st day of each month. Payments shall be made via bank transfer.

C. Late Payment Penalties: Payments not received by the 5th day of the month will incur a late fee of $100. Continued late payments may result in termination of the Contract.

VI. Liabilities and Warranties

A. Service Provider Liability: The Service Provider shall be liable for any damages or losses caused by their negligence or willful misconduct while performing maintenance services. The liability is limited to the amount of $10,000 per incident.

B. Warranties: The Service Provider warrants that all maintenance and repairs will be performed in a professional and workmanlike manner. All repairs are guaranteed for a period of 90 days from the date of service.

C. Insurance Requirements: The Service Provider must maintain comprehensive general liability insurance with a minimum coverage of $1,000,000 per occurrence. Proof of insurance must be provided to the Cafe Owner upon request.

VII. Responsibilities of the Cafe Owner

A. Access to Premises: The Cafe Owner shall provide the Service Provider with necessary access to the cafe premises during the agreed service times.

B. Reporting Issues: The Cafe Owner shall promptly report any maintenance issues or equipment malfunctions to the Service Provider. Emergency issues should be reported immediately.

C. Payment of Fees: The Cafe Owner agrees to pay the Service Provider as outlined in Section V. Payment Terms. All payments shall be made in a timely manner to avoid any late fees.

VIII. Confidentiality

A. Non-Disclosure: The Service Provider agrees to maintain the confidentiality of all proprietary and sensitive information related to the cafe's operations and business practices. This includes, but is not limited to, customer information, financial records, and trade secrets.

B. Duration: The confidentiality obligation shall remain in effect during the term of this Contract and for a period of two years after the termination or expiration of this Contract.

IX. Dispute Resolution

A. Mediation/Arbitration: Any disputes arising out of or in connection with this Contract shall first be attempted to be resolved through mediation. If mediation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

B. Jurisdiction: This Contract shall be governed by and construed in accordance with the laws of the State of [State]. Any legal actions or proceedings arising out of this Contract shall be brought in the state or federal courts located in [County, State].

X. Miscellaneous

A. Amendments: Any amendments or modifications to this Contract must be made in writing and signed by both parties.
