School Cleaning Service Contract

This School Cleaning Service Contract (the "Contract") is entered into as of [Date] (the "Effective Date"), by and between [Your Company Name], a school located at [Your Company Address] ("School"), and [Cleaning Service Provider Name], a cleaning service provider with its principal place of business at [Service Provider Address] ("Service Provider"). Collectively, the School and the Service Provider may be referred to as the "Parties" or individually as a "Party."

1. Scope of Services

1.1 The Service Provider agrees to provide comprehensive cleaning services for the School as outlined below hereto and incorporated herein by reference (the "Services").

A. Daily Cleaning Tasks:

  • Sweeping, mopping, and vacuuming all floors

  • Emptying all trash receptacles and replacing liners

  • Cleaning and disinfecting restrooms, including toilets, sinks, and mirrors

  • Dusting and wiping down surfaces, including desks, chairs, and countertops

  • Cleaning glass doors and windows

B. Weekly Cleaning Tasks:

  • Deep cleaning and sanitizing of all classroom floors and carpets

  • Polishing and dusting of all furniture

  • Cleaning and disinfecting of all high-touch surfaces, such as doorknobs and light switches

C. Monthly Cleaning Tasks:

  • Washing windows, both interior and exterior

  • Cleaning and maintaining ventilation systems

  • Deep cleaning of restrooms, including tile and grout cleaning

D. Semi-Annual Cleaning Tasks:

  • Comprehensive cleaning of all ventilation systems

  • Detailed cleaning of all storage areas and closets

E. Additional Services:

  • Event setup and cleanup

  • Special projects upon request

1.2 The Services shall include, but are not limited to, daily cleaning of classrooms, offices, restrooms, and common areas; weekly deep cleaning of floors and carpets; monthly window washing; and semi-annual cleaning of ventilation systems.

1.3 The Service Provider shall supply all necessary cleaning equipment and materials, including but not limited to cleaning agents, disinfectants, vacuums, mops, and other tools required to perform the Services.

2. Term

2.1 The term of this Contract shall commence on the Effective Date and continue for a period of one (1) year, unless earlier terminated in accordance with the provisions of this Contract (the "Initial Term").

2.2 Upon the expiration of the Initial Term, this Contract shall automatically renew for successive one (1) year terms (each a "Renewal Term") unless either Party provides written notice of its intent not to renew at least thirty (30) days prior to the expiration of the Initial Term or the then-current Renewal Term.

3. Compensation

3.1 In consideration of the Services provided by the Service Provider, the School agrees to pay the Service Provider a monthly fee of [Amount] USD.

3.2 Payment shall be made by the School to the Service Provider within thirty (30) days of receipt of a properly submitted invoice.

3.3 The Service Provider shall submit invoices to the School on a monthly basis, detailing the Services performed and the corresponding fees.

4. Performance Standards

4.1 The Service Provider shall perform the Services in a professional and diligent manner, consistent with industry standards and practices.

4.2 The Service Provider shall ensure that all personnel assigned to perform the Services are adequately trained, qualified, and supervised.

4.3 The School reserves the right to conduct periodic inspections of the premises to ensure that the Services are being performed to its satisfaction.

5. Compliance with Laws

5.1 The Service Provider shall comply with all applicable federal, state, and local laws, regulations, and ordinances in the performance of the Services.

5.2 The Service Provider shall obtain and maintain all necessary licenses, permits, and certifications required to perform the Services.

6. Insurance

6.1 The Service Provider shall maintain, at its own expense, comprehensive general liability insurance with a minimum coverage of [Amount] USD per occurrence and [Amount] USD in the aggregate.

6.2 The Service Provider shall provide the School with a certificate of insurance evidencing the required coverage prior to the commencement of the Services and upon request thereafter.

6.3 The Service Provider shall also maintain workers' compensation insurance as required by applicable law.

7. Indemnification

7.1 The Service Provider agrees to indemnify, defend, and hold harmless the School, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with the performance of the Services, except to the extent caused by the gross negligence or willful misconduct of the School.

8. Termination

8.1 Either Party may terminate this Contract for convenience upon thirty (30) days' written notice to the other Party.

8.2 Either Party may terminate this Contract for cause in the event of a material breach by the other Party, provided that the breaching Party fails to cure such breach within ten (10) days of receiving written notice of the breach.

8.3 Upon termination of this Contract, the Service Provider shall immediately cease all Services and promptly return any School property in its possession.

9. Confidentiality

9.1 The Service Provider agrees to maintain the confidentiality of all non-public information disclosed by the School in connection with this Contract.

9.2 The Service Provider shall not disclose any such information to any third party without the prior written consent of the School, except as required by law.

10. Independent Contractor

10.1 The Parties acknowledge that the Service Provider is an independent contractor and not an employee of the School.

10.2 The Service Provider shall have no authority to bind the School in any manner or make any representations on behalf of the School.

11. Notices

11.1 All notices, requests, consents, and other communications required or permitted under this Contract shall be in writing and shall be deemed to have been given when delivered personally, sent by certified mail (return receipt requested), or sent by a nationally recognized overnight courier service, to the addresses set forth above or to such other address as either Party may designate by written notice to the other Party.

12. Miscellaneous

12.1 Governing Law. This Contract shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of laws principles.

12.2 Entire Agreement. This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

12.3 Amendments. A change or alteration of this Contract shall not be considered valid or enforceable unless it is documented in a written format and bears the signatures of both parties involved.

12.4 Severability. In the event that any provision of this Contract is determined to be invalid or unenforceable by a court of competent jurisdiction or any other authorized entity, such determination shall not affect the validity or enforceability of the remaining provisions. Instead, the remaining provisions of this Contract shall remain in full force and effect, continuing to govern the relationship and obligations of the parties involved as if the invalid or unenforceable provision were never included in the Contract.

12.5 Waiver. A waiver by either Party of any breach or default under this agreement shall not be considered as a waiver of any preceding or subsequent breach or default.

12.6 Assignment. The Service Provider shall not assign or transfer any of its rights or obligations under this Contract without the prior written consent of the School.

12.7 Headings. The headings in this Contract are for reference only and shall not affect the interpretation of this Contract.
