School Speech Therapy Contract

This School Speech Therapy Contract ("Contract") is entered into as of [Month Day, Year], by and between [Your Company Name], located at [Your Company Address], and [Therapist Name], a licensed Speech-Language Pathologist ("Therapist"), located at [Therapist Address].

RECITALS

WHEREAS, [Your Company Name] ("School") desires to obtain the services of a licensed Speech-Language Pathologist to provide speech therapy services to its students;

WHEREAS, [Therapist Name] ("Therapist") is a licensed and certified Speech-Language Pathologist with the qualifications and experience necessary to provide such services;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

1. DEFINITIONS

1.1 "Services" shall mean speech therapy services provided by the Therapist, including but not limited to assessment, diagnosis, and treatment of speech, language, voice, fluency, and swallowing disorders.

1.2 "Students" shall mean the students of [Your Company Name] who are identified as needing speech therapy services.

1.3 "Contract Term" shall mean the period during which this Contract is in effect, as defined in Section 4.

2. THERAPIST’S OBLIGATIONS

2.1 Provision of Services. The Therapist agrees to provide speech therapy services to Students in accordance with the terms of this Contract. Services shall include:

a. Conducting evaluations and assessments of Students to determine the need for speech therapy services.

b. Developing individualized treatment plans for Students based on assessments and evaluations.

c. Providing direct speech therapy sessions to Students.

d. Collaborating with teachers, parents, and other school staff to ensure the integration of speech therapy goals within the Students' educational programs.

e. Maintaining accurate and timely records of all services provided, including treatment plans, progress notes, and any other documentation required by the School.

f. Participating in meetings with school staff and parents as needed to discuss Students' progress and needs.

g. Adhering to all applicable laws, regulations, and ethical standards governing the practice of speech-language pathology.

2.2 Availability. The Therapist shall be available to provide Services [Monday through Friday, from 8:00 AM to 3:00 PM] during the School's regular academic year, including extended school year services if applicable.

2.3 Professional Conduct. The Therapist shall perform all Services in a professional and competent manner, consistent with the standards of practice for speech-language pathology.

3. SCHOOL’S OBLIGATIONS

3.1 Provision of Facilities. The School shall provide the Therapist with adequate facilities and resources necessary for the provision of Services, including but not limited to a private space for conducting therapy sessions, access to necessary materials and equipment, and administrative support.

3.2 Access to Students. The School shall ensure that Students are available for scheduled therapy sessions and shall facilitate communication between the Therapist and school staff, parents, and other relevant parties.

3.3 Payment for Services. The School agrees to compensate the Therapist for Services rendered in accordance with the terms set forth in Section 5 of this Contract.

3.4 Compliance with Laws. The School shall comply with all applicable federal, state, and local laws and regulations relating to the provision of special education and related services, including speech therapy.

4. TERM AND TERMINATION

4.1 Term. This Contract shall commence on [Month Day, Year] and shall continue in effect until [Month Day, Year], unless terminated earlier in accordance with the provisions of this Section.

4.2 Termination for Convenience. Either party may terminate this Contract for convenience upon thirty (30) days' written notice to the other party.

4.3 Termination for Cause. Either party may terminate this Contract immediately upon written notice if the other party breaches any material term or condition of this Contract and fails to cure such breach within ten (10) days after receiving written notice thereof.

4.4 Effect of Termination. Upon termination of this Contract, the Therapist shall immediately cease providing Services, and the School shall pay the Therapist for all Services rendered up to the date of termination.

5. COMPENSATION

5.1 Rate of Payment. The School agrees to pay the Therapist at a rate of $[0] for Services provided under this Contract. The Therapist shall submit an invoice to the School on a [monthly] basis, detailing the Services provided and the total amount due.

5.2 Payment Terms. The School shall pay the Therapist within thirty (30) days of receipt of an invoice. If any portion of an invoice is disputed, the School shall notify the Therapist within ten (10) days of receipt, and the parties shall work in good faith to resolve the dispute. The School shall pay the undisputed portion of the invoice within the original thirty (30) day period.

5.3 Reimbursement of Expenses. The School shall reimburse the Therapist for reasonable and necessary expenses incurred in the performance of Services, provided that such expenses are pre-approved by the School and supported by appropriate documentation.

6. CONFIDENTIALITY

6.1 Confidential Information. The Therapist acknowledges that, during the term of this Contract, they may have access to confidential information concerning the School, its Students, and their families. The Therapist agrees to maintain the confidentiality of all such information and to use such information only in connection with the provision of Services under this Contract.

6.2 FERPA Compliance. The Therapist agrees to comply with the Family Educational Rights and Privacy Act (FERPA) and any other applicable laws and regulations governing the confidentiality of student education records.

7. INSURANCE AND INDEMNIFICATION

7.1 Insurance. The Therapist shall maintain professional liability insurance in an amount not less than $[0] per occurrence and $[0] in the aggregate, and shall provide the School with a certificate of insurance evidencing such coverage upon request.

7.2 Indemnification. The Therapist agrees to indemnify, defend, and hold harmless the School, its trustees, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the performance of Services under this Contract, except to the extent caused by the gross negligence or willful misconduct of the School.

8. RELATIONSHIP OF THE PARTIES

8.1 Independent Contractor. The Therapist is an independent contractor and is not an employee, partner, or joint venturer of the School. Nothing in this Contract shall be construed to create an employment relationship between the School and the Therapist.

8.2 Responsibility for Taxes. The Therapist shall be solely responsible for all taxes, withholdings, and other statutory or contractual obligations of any sort, including but not limited to workers' compensation insurance, unemployment insurance, social security, and Medicare taxes.

9. MISCELLANEOUS

9.1 Governing Law. This Contract shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.

9.2 Dispute Resolution. Any disputes arising out of or relating to this Contract shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiations, either party may initiate mediation in [Location], before a mutually agreed upon mediator. If mediation is unsuccessful, either party may pursue any remedies available at law or in equity.

9.8 Assignment. Neither party may assign or transfer its rights or obligations under this Contract without the prior written consent of the other party, except that the School may assign this Contract to a successor entity in the event of a merger, consolidation, or sale of all or substantially all of its assets.

9.9 Counterparts. This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
