1. Purpose

2. Services Provided

3. Compensation
a. Payment Terms
The School agrees to compensate the Service Provider for the Services rendered in accordance with the rates and payment schedule. The payment schedule for the School Service Contract includes an initial payment upon contract signing, followed by monthly service fees due on a specified date each month. Additionally, milestone payments are outlined for specific project milestones, with a final payment due upon completion and acceptance of services. The Service Provider may also be reimbursed for pre-approved out-of-pocket expenses, not exceeding a specified amount per month. Late payments may incur a late fee, and invoices are to be submitted by a specified date each month.
b. Invoices and Payment
The Service Provider shall submit detailed invoices to the School on a [monthly/quarterly] basis. The School agrees to pay each invoice within [30/60] days of receipt, provided that the invoice is accurate and conforms to the terms of this Contract.
c. Reimbursement of Expenses
Any out-of-pocket expenses incurred by the Service Provider in the course of providing the Services shall be reimbursed by the School, subject to prior approval and submission of valid receipts.
4. Term and Termination
a. Term
This Contract shall commence on the date first written above and shall continue in effect until [end date], unless terminated earlier in accordance with the provisions of this Contract.
b. Termination for Convenience
Either party may terminate this Contract for convenience by providing [30/60] days written notice to the other party.
c. Termination for Cause
Either party may terminate this Contract immediately upon written notice if the other party breaches any material term of this Contract and fails to cure such breach within [15/30] days after receipt of written notice specifying the breach.
d. Effect of Termination
Upon termination of this Contract, the Service Provider shall cease all Services and shall deliver to the School all work in progress, completed work, and any other materials related to the Services. The School shall pay the Service Provider for all Services rendered up to the date of termination.
5. Performance Standards
a. Quality of Services
The Service Provider agrees to perform the Services with the highest standards of professionalism and in a manner consistent with industry standards.
b. Compliance with Laws
The Service Provider shall comply with all applicable laws, regulations, and policies of the School in the performance of the Services.
c. Performance Reviews
The School reserves the right to conduct periodic performance reviews of the Service Provider to ensure compliance with the terms of this Contract and the quality of the Services provided.
6. Confidentiality
a. Confidential Information
The Service Provider acknowledges that during the course of performing the Services, it may have access to confidential and proprietary information of the School. The Service Provider agrees to maintain the confidentiality of such information and to use it only for the purposes of performing the Services under this Contract.
b. Return of Confidential Information
Upon termination of this Contract, the Service Provider shall return to the School all confidential information in its possession or control.
7. Indemnification
a. Indemnification by Service Provider
The Service Provider agrees to indemnify, defend, and hold harmless the School, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with the Service Provider's performance of the Services or breach of this Contract.
b. Indemnification by School
The School agrees to indemnify, defend, and hold harmless the Service Provider, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with the School's use of the Services or breach of this Contract.
8. Insurance
a. Insurance Requirements
The Service Provider shall maintain at its own expense during the term of this Contract the following insurance coverages:

Comprehensive General Liability Insurance in an amount not less than $[amount] per occurrence and $[amount] in the aggregate.

b. Evidence of Insurance

9. Independent Contractor
a. Independent Contractor Status
The Service Provider is an independent contractor and not an employee, agent, or representative of the School. Nothing in this Contract shall be construed to create a partnership, joint venture, or employer-employee relationship between the parties.
b. Responsibility for Taxes and Benefits
The Service Provider shall be solely responsible for all taxes, withholdings, and other statutory obligations, as well as for providing any benefits to its employees.
10. Dispute Resolution
a. Negotiation
In the event of any dispute arising out of or in connection with this Contract, the parties shall first attempt to resolve the dispute through good faith negotiations.
b. Mediation
If the dispute cannot be resolved through negotiation within [30/60] days, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator.
c. Arbitration
If the dispute is not resolved through mediation, it shall be finally settled by binding arbitration in accordance with the rules of the [Arbitration Association], and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. Miscellaneous
a. Amendments
This Contract may be amended or modified only by a written agreement signed by both parties.
b. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.
c. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral.

e. Severability
If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
f. Waiver
The waiver by either party of any breach or default of any provision of this Contract shall not constitute a waiver of any subsequent breach or default.
g. Assignment
This Contract may not be assigned by either party without the prior written consent of the other party.
