I. Recitals

WHEREAS, the Lessee is committed to professional development and seeks to utilize premium venues to enhance its corporate events and initiatives;

WHEREAS, the Lessee intends to utilize the venue for the purpose of hosting a leadership conference, recognizing the suitability and convenience offered by the Lessor's facilities for such endeavors;

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants and agreements contained herein, the Parties agree as follows:

II. Venue Details

III. Rental Period

The Parties agree to abide by the specified rental period terms and understand that any deviation from the agreed-upon terms may result in additional charges or consequences as outlined herein.

  1. Commencement Date: The rental period shall commence on the [Month Day, Year] as mutually agreed upon by the Lessor and Lessee.

  2. Duration: The rental period shall extend for a duration of three (3) days, commencing from the commencement date specified herein.

  5. Early Termination: In the event that the Lessee wishes to terminate the rental period earlier than initially agreed upon, the Lessee must provide written notice to the Lessor at least ten (10) days in advance. Early termination may be subject to penalties or fees as outlined in this Contract.

IV. Rental Fee

The Parties agree to the specified rental fees and understand that failure to pay the rental fee or any associated charges may result in the termination of this Contract and forfeiture of the security deposit. The Lessee agrees to pay the Lessor the following rental fees for the use of the venue:

  1. Rental Fee: The Lessee shall pay the Lessor a rental fee of ten thousand dollars ($10,000) per day for the use of the venue. Payment for the rental fee shall be made in full prior to the commencement of the rental period.

  2. Security Deposit: In addition to the rental fee, the Lessee shall provide a security deposit in the amount of five thousand dollars ($5,000) to the Lessor upon signing this Contract. The security deposit shall be refunded to the Lessee within five (5) days after the conclusion of the rental period, subject to deductions for damages or outstanding fees.

  3. Additional Fees: The Lessee acknowledges that additional fees may apply for extra services or amenities requested, such as catering services, technical support, or overtime charges. Any such additional fees shall be agreed upon by both Parties in writing prior to the provision of said services.

V. Use of Venue

The Lessee acknowledges and agrees to abide by the terms and conditions outlined herein regarding the use of the venue. Failure to comply with these terms may result in termination of the rental agreement and forfeiture of any payments made.

  1. Authorized Purpose: The Lessee agrees to utilize the venue solely for the purpose of hosting a conference, as agreed upon by the Lessor. Any deviation from the authorized purpose must be approved in writing by the Lessor prior to the event.

  2. Compliance with Laws and Regulations: The Lessee shall ensure that the use of the venue complies with all applicable laws, regulations, and ordinances. This includes obtaining any necessary permits, licenses, or approvals required for the event.

  3. Care and Maintenance: The Lessee shall exercise reasonable care in the use of the venue and its facilities, ensuring that no damage is caused to the premises or any equipment therein. The Lessee shall be responsible for any damages resulting from negligence or misuse during the rental period.

  4. Restrictions: The Lessee agrees not to engage in any activities that may cause disturbance, nuisance, or inconvenience to neighboring properties or residents. The use of hazardous materials, open flames, or illegal substances is strictly prohibited on the premises.

  5. Access and Security: The Lessee shall be responsible for controlling access to the venue during the rental period and ensuring the security of all attendees and belongings. The Lessee shall promptly notify the Lessor of any security concerns or incidents occurring on the premises.

VI. Responsibilities of the Lessee

The Lessee acknowledges and agrees to assume these responsibilities in connection with the rental of the venue. Failure to fulfill these obligations may result in additional charges, penalties, or termination of the rental agreement.

  1. Preparation and Setup: The Lessee shall be responsible for preparing the venue for the event, including any necessary setup of equipment, decorations, or signage. The Lessee shall ensure that the setup is completed in a timely manner and in accordance with the Lessor's guidelines.

  2. Conduct of Attendees: The Lessee shall ensure that all attendees of the event conducted in the venue adhere to appropriate conduct and behavior standards. This includes refraining from disruptive behavior, vandalism, or any actions that may disturb other occupants of the premises.

  3. Supervision and Security: The Lessee shall provide adequate supervision and security measures during the event to ensure the safety and well-being of all attendees. This may include hiring security personnel or volunteers to monitor the premises and respond to any incidents or emergencies.

  4. Cleanup and Restoration: Following the conclusion of the event, the Lessee shall be responsible for cleaning up the venue and restoring it to its original condition. This includes removing all decorations, equipment, and personal belongings brought onto the premises by the Lessee or attendees.

  5. Damage and Liability: The Lessee shall indemnify and hold harmless the Lessor from any claims, damages, or liabilities arising out of or related to the Lessee's use of the venue. This includes but is not limited to damages caused by the Lessee, its agents, employees, or attendees, as well as any injuries or accidents occurring on the premises during the rental period.

VII. Indemnification

In consideration of the Lessee's use of the venue, the Parties recognize the importance of indemnification to protect the interests of both the Lessor and Lessee.

  1. Liability Coverage: The Lessee shall indemnify, defend, and hold harmless the Lessor, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the Lessee's use of the venue.

  2. Insurance Requirement: The Lessee shall maintain comprehensive general liability insurance coverage with a minimum coverage limit of five thousand dollars ($5,000) for the duration of the rental period. The Lessor shall be named as an additional insured on the policy, and proof of insurance shall be provided to the Lessor upon request.

VIII. Termination

To ensure clarity and accountability, both Parties acknowledge the necessity of defining the conditions under which this Contract may be terminated.

  1. Breach of Contract: Either party may terminate this Contract upon written notice to the other party in the event of a material breach of any provision herein. Notice of termination shall specify the nature of the breach and shall be delivered to the breaching party, with termination becoming effective five (5) days from the date of such notice unless the breach is cured within the specified timeframe.

  2. Force Majeure: In the event that either party is unable to perform its obligations under this Contract due to circumstances beyond its control, the parties shall work together in good faith to determine an appropriate course of action, which may include termination of the Contract if deemed necessary.

IX. Governing Law

To provide a clear legal framework for the resolution of any disputes that may arise, the Parties agree to specify the governing law and jurisdiction for this Contract.

  1. Jurisdiction: This Contract shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
