NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Purpose
The purpose of this Contract is to establish a formal agreement between the Gym Owner and the Maintenance Provider for the provision of regular upkeep and repair services for the gym facilities. This Contract outlines the responsibilities of both parties, detailing the scope of maintenance work to be performed, including equipment inspections, cleaning services, and repairs. It also specifies the frequency of maintenance visits and any emergency response procedures. 2. Scope of Work
2.1 The Maintenance Provider agrees to perform regular inspections of gym equipment to ensure proper functionality and safety. The Maintenance Provider will also assess the safety features of the equipment to ensure they are in proper working order.
2.2 The Maintenance Provider will be responsible for cleaning and sanitizing gym equipment, floors, and other surfaces as needed. This includes using appropriate cleaning agents and techniques to maintain a clean and hygienic environment for gym users. The Maintenance Provider will also ensure that all cleaning activities comply with health and safety regulations.
2.3 The Maintenance Provider will conduct repairs and maintenance of gym equipment as necessary to keep it in optimal condition. This includes identifying any issues or malfunctions during inspections and performing the necessary repairs promptly. The Maintenance Provider will use high-quality replacement parts and follow manufacturer guidelines for maintenance to ensure the equipment's longevity and performance.
2.4 The Maintenance Provider will update the Gym Owner on the status of equipment and facilities, including any issues or concerns that may arise. This communication will be timely and informative, providing the Gym Owner with the necessary information to make informed decisions about maintenance and repairs. The Maintenance Provider will also provide recommendations for preventive maintenance to minimize future issues.
2.5 The Maintenance Provider agrees to provide emergency repair services if required to address any urgent maintenance needs. This includes responding promptly to any emergency calls and mobilizing resources to resolve the issue quickly and efficiently. The Maintenance Provider will have a 24-hour emergency hotline and a team of trained technicians ready to respond to emergencies.
3. Maintenance Schedule
3.1 The Maintenance Provider shall perform maintenance visits according to the following schedule:
a. Weekly inspections and cleaning services to ensure cleanliness and safety. During these visits, the Maintenance Provider will inspect all gym equipment and facilities, clean them thoroughly, and identify any issues that require attention.
b. Monthly detailed inspections and minor repairs to address any issues promptly. These inspections will be more thorough than the weekly inspections, focusing on identifying and addressing any potential problems before they escalate.
c. Quarterly comprehensive maintenance and major repairs as needed to maintain the equipment's optimal condition. These maintenance visits will involve a detailed examination of all equipment and facilities, including preventive maintenance measures to ensure they remain in excellent condition.
3.2 In case of emergencies, the Maintenance Provider shall respond within 24 hours from the time of notification to address any urgent maintenance needs. This ensures that any issues that arise can be resolved quickly to minimize downtime and inconvenience for gym users.
4. Reporting and Documentation
4.1 The Maintenance Provider shall maintain accurate and up-to-date records of all maintenance activities, including inspections, cleaning, and repairs. These records shall include the date and nature of each activity, the equipment or area serviced, the name of the technician performing the work, and any parts or materials used. These records shall be kept in a secure location and made available for inspection by the Gym Owner or regulatory authorities upon request.
4.2 These records shall be documented and provided to the Gym Owner on a monthly basis or upon request to keep them informed of the maintenance activities and equipment status. The Maintenance Provider shall prepare a comprehensive report detailing all maintenance activities conducted during the reporting period, including any issues identified and actions taken. This report shall be submitted to the Gym Owner in a timely manner, along with any recommendations for future maintenance or repairs.
5. Compliance with Regulations
The Maintenance Provider agrees to comply with all relevant health and safety regulations, ensuring that the gym facilities are safe for use and meet all regulatory requirements. This includes but is not limited to, complying with local building codes, fire safety regulations, and occupational health and safety standards.
The Maintenance Provider shall regularly review and update their practices to ensure ongoing compliance with regulations and shall provide the Gym Owner with any documentation or certifications required to demonstrate compliance.
6. Termination of Agreement
6.1 Either party may terminate this Contract by providing 30 days written notice to the other party. Upon receipt of such notice, both parties shall work together in good faith to ensure a smooth transition of responsibilities. The terminating party shall specify the effective date of termination in the notice, and all maintenance activities shall cease on that date unless otherwise agreed upon.
6.2 Upon termination, the Maintenance Provider shall provide a final report of all maintenance activities conducted up to the termination date to ensure a smooth transition of responsibilities. This report shall include a summary of all work performed, any outstanding issues or recommendations for future maintenance, and a final inventory of equipment and materials. The Maintenance Provider shall also return any keys, access codes, or other property belonging to the Gym Owner and shall cooperate fully in the handover process.
7. Payment Terms
7.1 The Gym Owner agrees to pay the Maintenance Provider an agreed-upon fee for the services rendered under this Contract. This fee shall be based on the scope of work outlined in this Contract and any additional services requested by the Gym Owner. The fee shall be payable in accordance with the payment terms and conditions specified in this Contract.
7.2 Payment terms and conditions shall be outlined in a separate document attached to this Contract as Exhibit A, specifying the amount, frequency, and method of payment.
