1. Purpose

This includes gym floors, exercise equipment, locker rooms, shower facilities, restrooms, reception areas, lounges, and any other designated spaces as identified and agreed upon by both Parties. By ensuring comprehensive coverage, the Cleaning Service Provider supports the Gym in upholding its commitment to cleanliness across all customer-facing and operational areas.

2.1.3 Specific Tasks: The Cleaning Service Provider shall execute a range of specific cleaning tasks designed to uphold rigorous hygiene standards. These tasks include but are not limited to dusting all surfaces, including shelves and equipment tops, thorough mopping of floors using appropriate cleaning agents, vacuuming carpeted areas to remove debris and allergens, sanitizing gym equipment and high-touch surfaces, ensuring the replenishment of essential supplies such as towels, toiletries, and cleaning agents, and the proper disposal of trash and waste materials in designated receptacles. By meticulously addressing these tasks, the Cleaning Service Provider contributes to creating a clean, safe, and pleasant environment conducive to the Gym's operational objectives and member satisfaction.

2.1.4 Supplies and Equipment: The Cleaning Service Provider shall be responsible for providing all necessary cleaning supplies, tools, and equipment essential for the effective execution of the cleaning services, unless otherwise stipulated and agreed upon in writing by both Parties. This includes but is not limited to cleaning solutions, disinfectants, mops, buckets, vacuum cleaners, microfiber cloths, gloves, and other specialized equipment required to perform cleaning tasks efficiently and to industry standards. By ensuring the availability and adequacy of these supplies, the Cleaning Service Provider supports consistent service delivery and operational continuity, thereby enhancing the overall cleanliness and hygiene of the Gym's facilities.

3. Payment Terms

3.1 The Gym agrees to compensate the Cleaning Service Provider for the services rendered under this Agreement based on the following terms:

4.1.2 Gym Responsibilities: The Gym acknowledges its responsibility to facilitate the effective execution of cleaning services by granting the Cleaning Service Provider unrestricted access to all areas requiring cleaning during agreed-upon service hours. Furthermore, the Gym agrees to promptly communicate any special instructions, specific cleaning requirements, or concerns related to the provision of cleaning services. By maintaining clear and proactive communication channels, the Gym ensures that the Cleaning Service Provider can adapt and respond to any operational changes or unique circumstances that may impact service delivery.

4.1.3 Cooperation: Both Parties commit to fostering a collaborative working relationship based on transparency, mutual respect, and effective communication. This cooperative approach is essential for resolving any issues or challenges that may arise during the term of this Agreement promptly. It includes sharing relevant information, promptly addressing concerns, and working together to implement any necessary adjustments to the cleaning services to better align with evolving operational needs or service expectations.

4.1.4 Insurance: The Cleaning Service Provider agrees to maintain comprehensive liability insurance coverage throughout the duration of this Agreement, with coverage amounts and policy terms satisfactory to the Gym. Upon request, the Cleaning Service Provider shall provide the Gym with valid proof of insurance documentation to demonstrate compliance with this contractual obligation. 5. Dispute Resolution

5.1 In the event of any dispute arising out of or relating to this Agreement, the Parties agree to first attempt to resolve the dispute amicably through good faith negotiations. Both Parties commit to engaging in constructive discussions aimed at reaching a mutually acceptable resolution. This initial step underscores the Parties' intent to address disputes promptly and effectively, preserving the ongoing business relationship and minimizing disruption to operations.

5.2 If a resolution cannot be reached through negotiations, the Parties agree to submit the dispute to mediation before a mutually agreed-upon mediator. Recognizing the value of alternative dispute resolution mechanisms, the Parties agree to engage in mediation conducted by a neutral third party selected jointly. Mediation offers a structured and non-adversarial approach to resolving disputes, allowing both Parties to explore solutions facilitated by the mediator's impartial guidance.

5.3 Should mediation fail to resolve the dispute, either Party may pursue legal remedies available under the governing law as specified in Section 8 of this Agreement. In the event that mediation proves unsuccessful in resolving the dispute, either Party reserves the right to pursue available legal remedies under the jurisdiction specified in Section 8. This clause ensures that unresolved disputes can be addressed through formal legal channels, safeguarding the Parties' rights and interests under applicable laws.

6. Termination

6.1 This Agreement may be terminated by either Party upon providing the other Party with written notice of termination at least 30 days in advance. Both Parties retain the right to terminate this Agreement by providing written notice at least 30 days prior to the intended termination date. This advance notice period allows for orderly transition and adjustment, ensuring minimal disruption to ongoing operations and service delivery.

6.2 In the event of termination, the Gym agrees to compensate the Cleaning Service Provider for all services performed up to the effective date of termination as outlined in Section 3 of this Agreement. Upon termination, the Gym agrees to settle all outstanding payments owed to the Cleaning Service Provider for services rendered up to the termination date specified. This provision ensures that the Cleaning Service Provider is fairly compensated for services provided, aligning with the agreed-upon payment terms stipulated in Section 3.

6.3 Either Party may terminate this Agreement immediately for cause if the other Party fails to remedy a material breach of this Agreement within 10 days of receiving written notice specifying such breach. In cases where a Party commits a material breach of this Agreement, the non-breaching Party reserves the right to terminate this Agreement immediately upon providing written notice specifying the breach. 7. Confidentiality
