Agriculture Product Sales Agreement
This Agriculture Product Sales Agreement (the "Agreement") is made and entered into as of [Date], between [Your Company Name], located at [Your Company Address] ("Seller"), and [Buyer], located at [Buyer Address] ("Buyer").
Product Description: Seller's agricultural products include fresh produce outlined in Exhibit A. Products are guaranteed to meet the specifications outlined in Exhibit A.
Pricing and Payment Terms: The unit price for products is detailed in Exhibit A. Buyer agrees to make payments within 30 days of receiving a valid invoice from Seller. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
Orders and Delivery: Buyer shall place orders for products specifying quantity, delivery date, and delivery location. Seller agrees to deliver the products to Buyer's designated location within three (3) days of receiving a valid purchase order. Delivery shall be made during regular business hours unless otherwise agreed upon in writing between the parties.
Inspection and Acceptance: Upon delivery, Buyer shall inspect the products promptly to ensure they conform to the specifications outlined in Exhibit A. Products shall be deemed accepted unless Buyer notifies Seller in writing of any defects or discrepancies within three (3) days of delivery.
Warranties: Seller warrants that all products delivered under this Agreement shall conform to the specifications in Exhibit A and shall be free from defects in materials and workmanship. Seller guarantees that the products will perform in accordance with the specifications provided and agreed upon.
Liability: Seller's liability under this Agreement shall be limited to the total amount paid by Buyer for the defective products.
Termination: Either party may terminate this Agreement upon thirty (30) days' written notice if the other party breaches any material provision and fails to remedy such breach within fourteen (14) days of receiving written notice thereof.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State].
Entire Agreement: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether oral or written.
