Agriculture Rental Agreement

This Agriculture Rental Agreement ("Agreement") is made and entered into as of [Date], by and between [Your Company Name], a company engaged in the agricultural business, with its principal place of business at [Your Company Address] ("Lessor"), and [Lessee's Name], with a principal address at [Lessee's Address] ("Lessee").

Recitals

WHEREAS, Lessor is the owner of certain agricultural property located at [Property Address] ("Property"); and

WHEREAS, Lessee desires to rent the Property for agricultural purposes, and Lessor is willing to lease the Property to Lessee under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Lease of Property

1.1. Lessor hereby leases to Lessee, and Lessee hereby rents from Lessor, the Property, together with all buildings, fixtures, and improvements thereon, for use in agricultural activities.

1.2. Lessee shall use the Property exclusively for agricultural purposes, including but not limited to planting, cultivating, and harvesting crops, and for related activities such as storage and maintenance of farming equipment.

2. Term

2.1. The term of this Agreement shall commence on [Commencement Date] and shall continue for a period of [Number] years, ending on [End Date], unless terminated earlier in accordance with the provisions of this Agreement.

2.2. At the expiration of the initial term, Lessee shall have the option to renew this Agreement for an additional term of [Number] years, upon the same terms and conditions, provided that Lessee gives written notice to Lessor of its intent to renew at least [Number] days prior to the end of the initial term.

3. Rent

3.1. Lessee shall pay to Lessor an annual rental fee of $[Rental Amount] ("Rent"), payable in equal monthly installments of $[Monthly Rent Amount] on or before the first day of each month during the term of this Agreement.

3.2. Rent payments shall be made to Lessor at [Your Company Address], or at such other place as Lessor may designate in writing.

3.3. In the event that any Rent payment is not received by Lessor within [Number] days of its due date, Lessee shall pay a late fee of $[Late Fee Amount] in addition to the overdue Rent.

4. Security Deposit

4.1. Upon execution of this Agreement, Lessee shall deposit with Lessor the sum of $[Security Deposit Amount] as a security deposit ("Security Deposit").

4.2. The Security Deposit shall be held by the Lessor as security for the performance of the Lessee's obligations under this Agreement. Lessor may, at its discretion, use all or part of the Security Deposit to remedy any default by Lessee or to cover any damages to the Property caused by Lessee.

4.3. Within [Number] days after the expiration or termination of this Agreement, Lessor shall return the Security Deposit to Lessee, less any amounts deducted in accordance with this Section 4.

5. Maintenance and Repairs

5.1. Lessee shall, at its own expense, maintain the Property in good condition and repair, including but not limited to all buildings, fixtures, and improvements thereon, and shall promptly make any necessary repairs.

5.2. Lessee shall not make any alterations, additions, or improvements to the Property without the prior written consent of Lessor. Any such alterations, additions, or improvements shall, at Lessor's option, become the property of Lessor upon the expiration or termination of this Agreement.

5.3. Lessor shall be responsible for major structural repairs to the buildings on the Property, provided that such repairs are not necessitated by the actions or negligence of Lessee.

6. Utilities and Services

6.1. Lessee shall be responsible for all utilities and services necessary for its use of the Property, including but not limited to water, electricity, gas, and waste disposal.

6.2. Lessee shall promptly pay all charges for utilities and services and shall indemnify and hold Lessor harmless from any liability for such charges.

7. Insurance

7.1. Lessee shall, at its own expense, obtain and maintain throughout the term of this Agreement comprehensive general liability insurance with a minimum coverage of $[Coverage Amount] per occurrence, insuring against any claims for bodily injury, death, or property damage arising out of Lessee's use of the Property.

7.2. Lessee shall provide Lessor with certificates of insurance evidencing the required coverage and naming Lessor as an additional insured.

7.3. Lessee shall also maintain, at its own expense, insurance coverage for all crops, equipment, and other personal property located on the Property, and shall indemnify and hold Lessor harmless from any loss or damage to such property.

8. Compliance with Laws

8.1. Lessee shall, at its own expense, comply with all applicable federal, state, and local laws, regulations, and ordinances relating to its use of the Property, including but not limited to those governing agricultural practices, environmental protection, and occupational health and safety.

8.2. Lessee shall obtain and maintain all necessary permits, licenses, and approvals required for its agricultural activities on the Property.

9. Indemnification

9.1. Lessee shall indemnify, defend, and hold harmless Lessor and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Lessee's use of the Property, including but not limited to any injury to or death of any person or damage to any property.

10. Default and Termination

10.1. The following events shall constitute a default by Lessee under this Agreement:

  • Failure to pay Rent or any other amounts due under this Agreement within [Number] days after the due date.

  • Failure to perform any other obligation under this Agreement and the continuation of such failure for a period of [Number] days after written notice from Lessor.

  • Abandonment or vacating of the Property by Lessee.

  • Filing of a petition in bankruptcy or insolvency by or against Lessee, or the appointment of a receiver or trustee for Lessee's property.

10.2. Upon the occurrence of any event of default by Lessee, Lessor may, at its option, terminate this Agreement and take possession of the Property, without prejudice to any other rights or remedies available to Lessor under this Agreement or applicable law.

10.3. Lessor may also terminate this Agreement without cause by giving Lessee at least [Number] days' written notice of termination. In such event, Lessor shall refund to Lessee any prepaid Rent, prorated as of the effective date of termination.

11. Surrender of Property

11.1. Upon the expiration or termination of this Agreement, Lessee shall surrender the Property to Lessor in the same condition as it was at the commencement of the term, reasonable wear and tear excepted.

11.2. Lessee shall remove all of its personal property, including crops and equipment, from the Property prior to the expiration or termination of this Agreement. Any property remaining on the Property after such date shall be deemed abandoned and may be disposed of by Lessor at Lessee's expense.

12. Miscellaneous

12.1. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether oral or written.

12.2. Amendment. This Agreement may be amended or modified only by a written instrument signed by both parties.

12.3. Waiver. The waiver by either party of any breach or default under this Agreement shall not constitute a waiver of any subsequent breach or default.

12.4. Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.5. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflicts of law principles.

12.6. Notices. All notices required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally or sent by certified mail, return receipt requested, postage prepaid, to the addresses set forth above or to such other address as either party may designate in writing.

12.7. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
