This Car Wash Detailing Agreement ("Agreement") is made and entered into on this [Date] day of [Month], 2050 ("Effective Date"), by and between [Your Company Name], with its principal place of business located at [Your Company Address] ("Service Provider"), and [Customer Name], residing at [Customer Address] ("Customer").

Recitals

WHEREAS, the Service Provider specializes in providing comprehensive car wash and detailing services; and

WHEREAS, the Customer wishes to engage the Service Provider to carry out detailing services on their vehicle(s) under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows:

1. Definitions

1.1 Services

The term "Services" shall include all car wash and detailing activities performed by the Service Provider, which may consist of, but are not limited to, exterior washing, interior cleaning, waxing, polishing, and additional services specified in Schedule A attached hereto.

1.2 Service Location

"Service Location" refers to the location designated by the Customer where the detailing services will be performed.

1.3 Service Fees

"Service Fees" refer to the costs payable by the Customer to the Service Provider for the provision of Services, as detailed in Schedule B attached hereto.

2. Scope of Services

2.1 Description of Services

The Service Provider agrees to render the Services described in Schedule A attached hereto. The exact nature and scope of services will be detailed explicitly to ensure mutual understanding and expectations.

2.2 Modifications

Any changes to the agreed Services must be documented and approved in writing by both parties. Any additional services or alterations requested by the Customer may incur extra charges, which will be agreed upon before the Services are provided.

3. Term and Termination

3.1 Term

This Agreement shall begin on the Effective Date and continue until the completion of the Services or until terminated as provided herein.

3.2 Termination by Convenience

Either party may terminate this Agreement for any reason by providing thirty (30) days written notice to the other party.

3.3 Termination for Cause

Either party may terminate this Agreement immediately if the other party breaches any significant term of this Agreement and fails to rectify such breach within ten (10) days following written notification from the non-breaching party.

3.4 Effects of Termination

Upon termination, the Service Provider shall cease all work, and the Customer shall pay for all Services completed up to the date of termination. Any prepaid amounts for Services not rendered will be refunded.

4. Payment Terms

4.1 Service Fees

The Customer agrees to pay the Service Fees to the Service Provider as outlined in Schedule B. The Service Fees are based on the scope of Services selected by the Customer.

4.2 Payment Schedule

Payments will be made according to the schedule outlined in Schedule B. A deposit may be required before the commencement of Services, with the remaining balance due upon completion.

4.3 Late Payments

Payments not received within ten (10) days of the due date will incur a late fee of [Late Fee Amount] per day until paid. The Service Provider reserves the right to suspend or terminate Services in the event of non-payment.

5. Customer Responsibilities

5.1 Access

The Customer shall provide the Service Provider with necessary access to the Service Location for the performance of the Services.

5.2 Vehicle Condition

The Customer shall ensure that the vehicle is suitable for detailing and free from any hazardous materials. The Service Provider will not be responsible for any pre-existing damage.

6. Service Provider Responsibilities

6.1 Quality of Service

The Service Provider shall perform the Services with professional skill and care, using quality products and techniques to ensure the best results.

6.2 Compliance

The Service Provider shall comply with all relevant laws, regulations, and standards in the provision of Services.

6.3 Insurance

The Service Provider shall maintain appropriate insurance coverage, including liability insurance, to protect against any potential damages or claims.

7. Warranties and Representations

7.1 Service Warranty

The Service Provider warrants that the Services will be performed in a professional and workmanlike manner. Any issues with the Services should be reported within 24 hours for rectification.

7.2 No Other Warranties

Except as expressly stated herein, the Service Provider makes no other warranties, express or implied, concerning the Services.

8. Indemnification

8.1 Indemnification by Service Provider

The Service Provider agrees to indemnify and hold harmless the Customer from any claims, damages, or losses arising from the Service Provider’s performance of the Services, except where such claims result from the Customer’s negligence.

8.2 Indemnification by Customer

The Customer agrees to indemnify and hold harmless the Service Provider from any claims, damages, or losses arising from the Customer’s negligence or willful misconduct.

9. Limitation of Liability

9.1 Exclusion of Damages

Neither party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising out of or relating to this Agreement.

9.2 Maximum Liability

The maximum liability of either party under this Agreement shall not exceed the total amount of Service Fees paid by the Customer.

10. Confidentiality

10.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary information received from the other party and not to disclose it to third parties without the prior written consent of the disclosing party.

10.2 Return of Information

Upon termination of this Agreement, each party shall return or destroy all confidential information belonging to the other party.

11. Dispute Resolution

11.1 Good Faith Negotiation

In the event of a dispute, the parties shall first attempt to resolve it through good faith negotiations.

11.2 Mediation

If negotiations fail, the dispute shall be submitted to mediation by a neutral third party agreed upon by both parties. Mediation shall take place in [City, State].
