This Confidentiality Agreement (the "Agreement") is made and entered into as of [Date] by and between [Your Company Name], a Religious Institution with its principal office located at [Your Company Address] (hereinafter referred to as the "Church"), and [Recipient's Name], residing at [Recipient's Address] (hereinafter referred to as the "Recipient").

I. Purpose

The purpose of this Agreement is to establish and outline the terms and conditions under which confidential information will be disclosed and protected between the Church and the Recipient in the context of volunteer work.

II. Definition of Confidential Information

A. Confidential Information

  1. Confidential Information refers to any data or information disclosed by the Church to the Recipient that is not generally known to the public and that the Church considers confidential or proprietary. This includes, but is not limited to:

    1.1. Personal information about church members, employees, or volunteers.

    1.2. Financial information, including budgets, donations, and financial statements.

    1.3. Church programs, strategies, and operational plans.

    1.4. Records of counseling or pastoral care sessions.

    1.5. Any other information that is designated as confidential by the Church in writing or orally.

  2. Confidential Information does not include information that:

    2.1. Is or becomes publicly available without any breach of this Agreement.

    2.2. Is already in the Recipient's possession without obligation of confidentiality prior to disclosure by the Church.

    2.3. Is independently developed by the Recipient without use of or reference to the Church's Confidential Information.

    2.4. Is disclosed under the order of a court or government agency, provided that the Recipient gives prompt notice to the Church of such order.

III. Obligations of the Recipient

A. Confidentiality

  1. The Recipient agrees to:

    1.1. Keep all Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of the Church.

    1.2. Use Confidential Information only for the purpose for which it was disclosed and not for any other purpose, including personal gain.

    1.3. Take all reasonable measures to protect the Confidential Information from unauthorized access, use, or disclosure.

B. Return of Information

  1. Upon termination of this Agreement or upon request by the Church, the Recipient agrees to:

    1.1. Return all materials containing Confidential Information to the Church or destroy such materials, including all copies, notes, or summaries thereof.

    1.2. Confirm in writing that all Confidential Information has been returned or destroyed.

IV. Duration

A. Term

This Agreement will commence on the date first written above and will remain in effect until until the Confidential Information no longer qualifies as confidential.

B. Survival

The Recipient's obligations under this Agreement with respect to Confidential Information will survive the termination or expiration of this Agreement for a period of 2 years.

V. Breach and Remedies

A. Breach

  1. In the event of a breach of this Agreement by the Recipient, the Church will be entitled to seek:

    1.1. Injunctive relief to prevent further breaches.

    1.2. Any and all other legal remedies available under applicable law.

B. Indemnification

The Recipient agrees to indemnify and hold harmless the Church from any loss, damage, or expense incurred as a result of a breach of this Agreement by the Recipient.

VI. Miscellaneous

A. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of [State].

B. Amendments

No amendment or modification of this Agreement will be valid or binding unless made in writing and signed by both parties.

C. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

D. Notices

Any notice or communication required or permitted under this Agreement must be in writing and will be deemed to have been duly given if delivered in person or sent by certified mail, return receipt requested, to the addresses set forth above or such other address as either party may designate by written notice.
