I. Introduction

A. Purpose of Agreement

II. Definitions

A. Products

"Products" refer to the goods that the Supplier will provide to the Grocery Store, which include, but are not limited to, fresh produce, packaged foods, beverages, and household items.

B. Order

"Order" means the purchase order issued by the Grocery Store to the Supplier for the supply of Products.

C. Delivery

"Delivery" refers to the transportation of Products from the Supplier to the Grocery Store's designated location.

III. Supply of Products

A. Product Specifications

  1. The Supplier agrees to supply the Grocery Store with Products that meet the specifications agreed upon by both parties.

  2. The Products shall be of the quality specified in the Order and shall conform to the standards and requirements set forth by applicable laws and regulations.

B. Order Placement

  1. The Grocery Store shall place Orders with the Supplier through written communication (email or purchase order form).

  2. Each Order shall specify the type and quantity of Products, delivery date, and delivery location.

C. Order Confirmation

  1. The Supplier shall confirm receipt of the Order within 2 business days.

  2. The Supplier shall notify the Grocery Store of any issues with the Order, including but not limited to, availability and delivery schedule.

IV. Delivery and Acceptance

A. Delivery Schedule

  1. The Supplier agrees to deliver the Products to the Grocery Store on the dates specified in the Order.

  2. Any delays in delivery shall be communicated to the Grocery Store as soon as possible.

B. Delivery Location

  1. The Supplier shall deliver the Products to the address specified in the Order.

  2. The Grocery Store may change the delivery location by providing 30 days' notice to the Supplier.

C. Acceptance of Products

  1. Upon delivery, the Grocery Store shall inspect the Products for any defects or discrepancies.

  2. The Grocery Store shall notify the Supplier of any issues within 7 business days of delivery.

  3. If the Products do not meet the specifications or are otherwise unsatisfactory, the Supplier shall replace or rectify the Products at no additional cost to the Grocery Store.

V. Pricing and Payment

A. Pricing

  1. The price of the Products shall be as agreed upon by both parties and specified in the Order.

  2. Any changes to the pricing must be agreed upon in writing by both parties.

B. Invoicing

  1. The Supplier shall issue an invoice to the Grocery Store upon delivery of the Products.

  2. The invoice shall include details such as the Order number, description of Products, quantity, price, and total amount due.

C. Payment Terms

  1. The Grocery Store agrees to pay the invoice within 10 days of receipt.

  2. Late payments may be subject to a late fee of 10% per month.

VI. Responsibilities of the Parties

A. Supplier's Responsibilities

  1. The Supplier shall ensure that the Products are of high quality and meet the specifications agreed upon by both parties.

  2. The Supplier shall comply with all applicable laws and regulations related to the production and delivery of the Products.

B. Grocery Store's Responsibilities

  1. The Grocery Store shall provide accurate and timely Orders to the Supplier.

  2. The Grocery Store shall inspect the Products upon delivery and notify the Supplier of any issues within the specified timeframe.

VII. Confidentiality

A. Confidential Information

  1. Both parties agree to keep confidential any information disclosed by the other party that is designated as confidential or that should reasonably be understood to be confidential.

  2. Confidential Information shall not include information that is publicly known or that is obtained from a third party without breach of this Agreement.

B. Use of Confidential Information

  1. Confidential Information shall be used solely for the purpose of fulfilling obligations under this Agreement.

  2. Both parties agree to take reasonable measures to protect the confidentiality of the information.

VIII. Term and Termination

A. Term

X. Dispute Resolution

A. Negotiation

Both parties agree to attempt to resolve any disputes arising under this Agreement through good-faith negotiations.

B. Mediation

If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to mediation before a mutually agreed-upon mediator.

C. Arbitration

If the dispute is not resolved through mediation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

XI. Miscellaneous
