INDEPENDENT CONTRACTOR AGREEMENT LAYOUT
I. PARTIES
This Independent Contractor Agreement (the “Agreement”) is entered into as of August 21, 2050, by and between Acme Solutions, Inc., a California corporation with its principal place of business at 123 Business Rd, Suite 456, Los Angeles, CA 90001 (“Company”), and [Your Name], an independent contractor with a principal place of business at [Your Company Address] (“Contractor”).
II. SERVICES
The contractor agrees to perform the following services (the “Services”): Development and implementation of a digital marketing strategy, including social media management, SEO optimization, and content creation. The Services shall be performed in a professional manner consistent with industry standards.
III. COMPENSATION
As compensation for the Services rendered, the Company agrees to pay the Contractor $5,000 per month. Payment shall be made within 15 days of receipt of an invoice from the Contractor.
IV. TERM AND TERMINATION
The term of this Agreement shall commence on September 1, 2050, and shall continue until August 31, 2051, or until terminated by either party with 30 days written notice. The Company may terminate this Agreement immediately upon written notice if the Contractor breaches any provision of this Agreement.
V. INDEPENDENT CONTRACTOR STATUS
The contractor acknowledges and agrees that the Contractor is an independent contractor and not an employee of the Company. The contractor shall not be entitled to any benefits or compensation from the Company except as expressly set forth in this Agreement.
VI. CONFIDENTIALITY
The contractor agrees to keep confidential and not disclose to any third party any proprietary or confidential information of the Company obtained in the course of performing the Services.
VII. INTELLECTUAL PROPERTY
Any intellectual property developed by the Contractor in connection with the Services shall be the sole property of the Company. Contractor agrees to assign all rights, title, and interest in such intellectual property to the Company.
VIII. INDEMNIFICATION
The contractor agrees to indemnify and hold harmless the Company from any and all claims, liabilities, damages, and expenses arising out of or related to the performance of the Services.
IX. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
X. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
XI. AMENDMENTS
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
