I. PARTIES

II. SCOPE OF WORK

The Photographer agrees to provide the following services for the Client:

1. Description of Services: The Photographer will capture images of Doe Enterprises' new product line as described in the attached Schedule A. The photography session will take place on September 15, 2050, at the Client's headquarters.

2. Deliverables: The Photographer will deliver 20 high-resolution digital images to the Client by October 1, 2050. The images will be provided in JPEG format and 300 DPI resolution.

III. PAYMENT TERMS

1. Fees: The total fee for the photography services is $2,500. This fee covers all aspects of the photography session, including pre-production, shooting, and post-production.

2. Payment Schedule:

   • A non-refundable deposit of $1,000 is due upon signing this Agreement.

   • The $1,500 balance is due by the final image delivery date.

3. Additional Costs: Any additional costs incurred by the Photographer, such as travel expenses or extra hours, will be billed to the Client separately with prior approval.

IV. USAGE RIGHTS

1. License Grant: The Photographer grants the Client a non-exclusive, worldwide license to use the delivered images for advertising and promotional purposes related to Doe Enterprises’ product line.

2. Restrictions: The Client may not use the images for any purposes other than those specified in this Agreement without obtaining additional written permission from the Photographer.

3. Credit: The Client agrees to credit the Photographer as follows: "Photo by [Your Name]" whenever the images are used in promotional materials.

V. DELIVERY SCHEDULE

1. Timeline: The Photographer will complete the post-production work and deliver the final images by October 1, 2050.

VI. CANCELLATION TERMS

1. Cancellation by Client: If the Client cancels the photography session less than 10 days before the scheduled date, the deposit will be forfeited.

2. Cancellation by Photographer: If the Photographer cancels, a full refund of any payments made by the Client will be issued, and the Photographer will make reasonable efforts to reschedule the session.

VII. CONFIDENTIALITY

The Photographer agrees to keep all information related to the Client’s business and the contents of this Agreement confidential. This obligation will continue after the termination of this Agreement.

VIII. MISCELLANEOUS

1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

2. Amendments: Any amendments to this Agreement must be made in writing and signed by both parties.

3. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
