II. Scope of Work

III. Payment Terms

This obligation applies to all forms of communication, including written, electronic, and verbal information.

Confidential information does not include information that becomes publicly available through no fault of the receiving party or is disclosed under legal compulsion. VI. Intellectual Property Rights

The Freelancer agrees to transfer all rights, title, and interest in the work products to the Client, including any related intellectual property rights. B. Use of Work Product

The Client has the right to use, modify, and distribute the work products for any purpose related to their business needs, including marketing, advertising, and promotional activities. The Freelancer retains the right to showcase the work products in their portfolio and for self-promotion, provided such use does not violate the confidentiality obligations outlined in Section V. Any use beyond these rights requires explicit written consent from the Client.

VII. Warranties and Representations

A. Freelancer’s Warranties

The Freelancer warrants that all work performed under this Contract will be original, created specifically for the Client, and will not infringe upon any third-party rights or intellectual property. The Freelancer also warrants that the services will be delivered in a professional and competent manner, adhering to industry standards and best practices. If any work is found to be non-compliant or infringing, the Freelancer will promptly correct the issues at no additional cost to the Client.

B. Client’s Warranties

D. Force Majeure

Neither party will be held liable for failure to perform any obligations under this Contract if such failure is caused by events beyond their reasonable control, including but not limited to natural disasters, war, terrorism, or labor strikes. The affected party must promptly notify the other party of the occurrence of a force majeure event and its anticipated duration. The parties will work together to mitigate the effects of the force majeure event and resume performance as soon as reasonably possible.
