Aesthetic Charity Bylaws
Article I - Name and Purpose
The name of this organization shall be [Your Company Name], hereinafter referred to as "the Charity."
The Charity is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
Article II - Membership
Section 1 - Eligibility for Membership
Membership is open to all individuals who support the mission and purposes of the Charity and who have paid the annual dues as set by the Board of Directors.
Section 2 - Annual Dues
The annual dues will be determined by the Board of Directors and must be paid by all members.
Section 3 - Rights of Members
Each member in good standing shall be eligible to vote in elections and on matters submitted to the membership.
Article III - Meetings of Members
Section 1 - Annual Meeting
An annual meeting of the members shall be held on [Specified Date] for the purpose of electing directors and transacting other business. The exact date, time, and location shall be determined by the Board of Directors.
Section 2 - Special Meetings

Section 2 - Election and Term of Office
The officers of the Charity shall be elected annually by the Board of Directors at the regular annual meeting of the Board of Directors.
Section 3 - Removal
Any officer elected or appointed by the Board of Directors may be removed by the Board whenever in its judgment the best interests of the Charity would be served thereby.
Section 4 - Vacancies
A vacancy in any office because of death, resignation, removal, disqualification, or otherwise, may be filled by the Board of Directors for the unexpired portion of the term.

Article VI - Committees
Section 1 - Committee Formation
The Board of Directors may designate and appoint committees as needed, such as fundraising, housing, etc.
Section 2 - Executive Committee
An Executive Committee, composed of the officers, shall have authority in the intervals between Board meetings to take action in accordance with the policies of the Board of Directors.
Article VII - Fiscal Year
The fiscal year of the Charity shall begin on the first day of [Month] and end on the last day of [Month] of each year.
Article VIII - Amendments to Bylaws
These Bylaws may be amended by a two-thirds vote of the Board of Directors at any meeting, provided that notice of the proposed amendment is given at least ten (10) days prior to the meeting at which the amendment is to be voted upon.
