Article I: Name and Principal Office

The name of the school shall be [Your Company Name] ("School"), and its principal office shall be located at [Your Company Address].

Article II: Purpose

The purpose of these bylaws is to provide a framework for the governance and operation of the School to ensure a quality educational experience for all students.

Article III: Membership

The School shall have the following categories of membership:

  • Parents/Guardians of enrolled students

  • Teachers and staff members

  • Administrative personnel

  • Board of Directors

Article IV: Board of Directors

Section 1: Composition

The Board of Directors shall consist of up to seven (7) members, including the following officers:

  • President

  • Vice President

  • Secretary

  • Treasurer

  • Three (3) additional members

Section 2: Terms of Office

Members of the Board of Directors shall serve for terms of three (3) years, with staggered elections to ensure continuity.

Section 3: Powers and Duties

The Board of Directors shall have the following powers and duties:

  • Adopt policies for the governance of the School

  • Approve the annual budget and financial reports

  • Appoint and oversee the Principal

  • Develop and approve the strategic plan

Article V: Meetings

Section 1: Regular Meetings

The Board of Directors shall hold regular meetings monthly at a date, time, and place determined by the Board.

Section 2: Special Meetings

Special meetings may be called by the President or by a majority of the Board members with at least 72 hours' notice to all members.

Section 3: Quorum

A quorum for the transaction of business at any meeting of the Board shall consist of a majority of the Board members.

Article VI: Committees

The Board of Directors may establish standing and ad-hoc committees as needed to carry out the work of the School. Each committee shall have a chairperson and shall report regularly to the Board.

Article VII: Financial Management

Section 1: Fiscal Year

The fiscal year of the School shall begin on July 1 and end on June 30 of the following year.

Section 2: Budget

The Treasurer shall prepare an annual budget to be approved by the Board of Directors before the beginning of each fiscal year.

Section 3: Financial Records

The Treasurer shall ensure that accurate financial records are maintained and shall provide financial reports to the Board at each regular meeting.

Article VIII: Amendments

These bylaws may be amended by a two-thirds (2/3) vote of the Board of Directors at any regular or special meeting, provided that written notice of the proposed amendment has been given at least seven (7) days prior to the meeting.

Article IX: Indemnification

The School shall indemnify any person who is or was a member of the Board of Directors or an officer of the School to the fullest extent permitted by law, against expenses and liabilities reasonably incurred in connection with any action, suit, or proceeding.

Article X: Dissolution

In the event of the dissolution of the School, the assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or shall be distributed to the federal government or to a state or local government for a public purpose.
