Purpose: The purpose of this Agreement is to set forth the terms and conditions under which the Sponsor will provide sponsorship to the Recipient for [Event Name], scheduled to take place on [Event Date] at [Event Location].
I. Sponsorship Commitment
A. Sponsorship Amount and Benefits
1. Sponsorship Amount:

B. Payment Terms
1. Payment Schedule:
The Sponsor shall pay the total sponsorship amount of $10,000 to the Recipient as follows:

II. Responsibilities of the Recipient
A. Event Organization
1. Planning and Execution:
The Recipient agrees to organize and execute the event in a professional manner, ensuring all agreed-upon sponsorship benefits are provided.
2. Promotional Materials:
The Recipient will provide the Sponsor with the design and placement details of all promotional materials featuring the Sponsor’s logo for approval prior to production.
B. Reporting
1. Post-Event Report:
The Recipient will provide a comprehensive report to the Sponsor within 30 days following the event, including attendee statistics, media coverage, and an overview of the event’s success.
2. Acknowledgment:
The Recipient will send a formal thank-you letter acknowledging the Sponsor’s contribution and support.
III. Term and Termination
A. Term
1. Agreement Duration:
This Agreement shall commence on August 27, 2050, and shall continue until November 27, 2050, unless terminated earlier in accordance with this Agreement.
B. Termination
1. Termination for Convenience:
Either party may terminate this Agreement for any reason by providing 15 days’ written notice to the other party.
2. Termination for Cause:
Either party may terminate this Agreement immediately if the other party breaches any of its obligations under this Agreement and fails to remedy the breach within 10 days of receiving written notice of such breach.
IV. Confidentiality and Intellectual Property
A. Confidentiality
1. Confidential Information:
Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with this Agreement and not to disclose such information to any third party without prior written consent.
B. Intellectual Property
1. Use of Logos and Trademarks:
The Sponsor grants the Recipient a non-exclusive, royalty-free license to use its logos and trademarks for the purpose of promoting the event. All intellectual property rights in the Sponsor’s logos and trademarks remain the property of the Sponsor.
2. Ownership:
Any materials created for the event incorporating the Sponsor’s branding will remain the property of the Recipient, but the Sponsor will have the right to use such materials for promotional purposes.
V. General Provisions
A. Governing Law
1. Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
B. Dispute Resolution
1. Negotiation:
In the event of any dispute arising out of or in connection with this Agreement, the parties agree to attempt to resolve the dispute through good-faith negotiations.
2. Arbitration:
If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
C. Amendments
1. Modification:
Any amendments or modifications to this Agreement must be made in writing and signed by authorized representatives of both parties.
D. Entire Agreement
1. Integration:
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether oral or written.
E. Execution
1. Signatures:
This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
