Free Maintenance Agreement Form

This Maintenance Agreement ("Agreement:" hereinafter) is entered into by and between Maintenance Company("Maintenance Company" hereinafter) and Name (Customer' hereinafter) on Date, under the terms and conditions below. The contact information of parties are as follows;

Term of the Agreement

The term of this Agreement is Term, starting from Dateto Date. A total of Numbermaintenance will be carried out during the term of the Agreement. After this period, the term of the Agreement shall be extended if the Parties have mutual written consent.

Other maintenance and repair requests during the term of the Agreement, will not be in the scope of this contract and will be priced separately.

Price and the Payment Conditions

The total maintenance fee for the equipment indicated above is Maintenance (VAT included). The payment shall be made proportionally according to the total number of maintenance and at the date of each maintenance.

The interest rate for the late payments is Interest Rate.

Rights and Obligations of the Parties

(a) The Customer shall not pay additional labor or service fees for the periodic maintenance of the equipment. However, in case of part replacement/change, the cost of these parts shall be paid by the Customer.

(b) Maintenance and repair work shall be carried out at the place where the equipment is located but in case of detection of faults that cannot be repaired on site, the machine shall be put into service with the approval of the Customer.

(c) The materials and spare parts needed for the maintenance of equipment shall be pro cured from the Manufacturer Company or its distributor.

(d) Damages that may arise as a result of external factors such as fire, flood, and third parties' intervention in the equipment are not subject to this Agreement.

(e) The Maintenance Company prepares a report containing a detailed record of the operations performed during each periodical maintenance and gives a copy to the customer.

(f) In the event that the above-mentioned and promised conditions are not fulfilled, either party has the right to terminate this Agreement with a written notification.

Miscellaneous

(a) This Agreement and Equipment Schedule(s) constitutes the complete understanding of the parties to this Agreement regarding the subject matter contained in this Agreement and supersedes any and all other agreements or arrangements, either oral or in writing.

(b) This Agreement and all the rights of the parties hereunder shall be governed by, construed and enforced in accordance with the laws of the State of

State.

(c) Any notifications to be sent under this Agreement shall be in written form and made to the address or email addresses indicated above, in the introduction of this Agreement.

(d) No modification of this Agreement shall be binding or enforceable unless expressly agreed by parties in writing.
