Master Services Agreement

Parties

This Master Services Agreement (hereinafter referred to as the "Agreement") is made and entered into as of January 14, 2060, by and between [Your Name], located at 2251 E Cedar St, Springfield, IL 62703 (hereinafter referred to as "Party A"), and Hannah Mavis, located at 2139 S Wirt Ave, Springfield, IL 62703 (hereinafter referred to as "Party B"). Party A and Party B may each be referred to as a "Party" and collectively as the "Parties."

Terms and Conditions

This Agreement shall commence on the Effective Date and shall continue until terminated by either Party in accordance with the terms set forth herein. The Parties agree to the following terms and conditions:

1. Scope of Services: Party A agrees to provide, and Party B agrees to accept, the services described in Exhibit A (the "Services").

2. Compensation: Party B shall pay Party A for the Services in accordance with the payment schedule set forth in Exhibit B.

3. Termination: Either Party may terminate this Agreement by providing thirty (30) day's written notice to the other Party.

Confidentiality

1. Confidential Information: Each Party acknowledges that it may receive confidential and proprietary information ("Confidential Information") from the other Party during the performance of this Agreement. Confidential Information shall include, but is not limited to, business plans, financial reports, and any other information specifically identified as confidential.

2. Obligations: Each Party agrees to maintain the confidentiality of the Confidential Information and shall not disclose such information to any third party without the prior written consent of the disclosing Party.

3. Exceptions: Confidential Information shall not include information that is already known to the receiving Party, is publicly available through no fault of the receiving Party, or is rightfully received from a third party without breach of this Agreement.

Specific Obligations

In addition to the terms set forth above, the Parties agree to the following specific obligations:

1. Party A's Obligations: Party A shall provide the necessary personnel, equipment, and resources to perform the Services in a timely and professional manner.

2. Party B's Obligations: Party B shall provide access to necessary facilities, information, and cooperation required for Party A to perform the Services effectively.
