1. Purpose

This Memorandum of Understanding (hereinafter referred to as "MOU") is entered into by and between [Your Company Name] (hereinafter referred to as "The Firm") and [Partner Company Name] (hereinafter referred to as "The Partner") for the purpose of outlining the mutual understanding and agreement concerning the establishment of a professional relationship and the provision of legal services under US law.

2. Scope of Legal Services

  • Drafting and reviewing contracts, agreements, and other legal documents;

3. Term and Termination

The Firm's liability under this MOU or related agreements shall not exceed the amount of fees paid by The Partner for the services from which the claim arises, except as required by applicable law.

8. Dispute Resolution

In the event of any dispute arising from this MOU or any related agreements, the parties agree to attempt in good faith to resolve the dispute through mediation before pursuing litigation. If mediation is unsuccessful, either party may initiate litigation in a court of competent jurisdiction within [State].
