Collectively, the Restaurant and Client shall be referred to as the "Parties." II. Venue and Services
A. Venue
The Restaurant will provide its Main Dining Hall, which accommodates up to seventy (70) guests, for the exclusive use of the Client during the event. This space includes a designated networking area, a seating arrangement for dining, and a small stage area for speeches or presentations if needed.
B. Food and Beverage
The Restaurant will provide a comprehensive catering service for the event. The menu, pre-approved by the Client, includes:

Beverages: Unlimited soft drinks, tea, and coffee will be available throughout the event. Alcoholic beverages will be offered at the bar on a cash basis unless otherwise agreed upon.
C. Event Staff
The Restaurant will provide sufficient staff to manage the event, including servers, bartenders, and event coordinators. A dedicated event manager will be assigned to oversee the flow and logistics of the event.
D. Audio-Visual Equipment
The Restaurant will provide a microphone, sound system, and projector for the Client’s use during the event. Should the Client require additional AV equipment, they may bring it or request it from a third-party provider, subject to approval by the Restaurant.
E. Additional Services

Event setup: The Restaurant will handle all aspects of setup, including arranging seating, tables, and basic decorations as agreed upon with the Client.

Clean-up services: After the event, the Restaurant will take care of all cleanup operations, including table clearing, waste disposal, and resetting the event space.
III. Payment Terms

Total Cost of the Event: The total cost for the venue, catering, and services for the event is fifty thousand dollars ($50,000) This amount includes all services outlined in the Venue and Services section, such as food, beverages, staff, and equipment.

Deposit: A deposit of twenty five thousand dollars ($25,000), representing fifty percent (50%) of the total event cost, is due at the time of signing this Contract. This deposit is non-refundable unless the Restaurant cancels the event.

Final Payment: The remaining balance of twenty five thousand dollars ($25,000) is due ten (10) days before the event date, no later than [Month Day, Year]. Payment must be made in full before the event to secure all services.

Additional Charges: Any additional costs incurred during the event, such as extra guests, additional beverage services, or special requests made during the event, will be invoiced and payable within twenty (20) days after the event. An itemized invoice will be provided to the Client.

Late Payment Fees: If the Client fails to make payments by the specified due dates, a ten percent (10%) late fee will be added to the outstanding balance for every five (5) days it remains unpaid.
IV. Cancellation Policy

Cancellation by the Client: If the Client cancels the event, the following terms apply:

Cancellation two (2) weeks before the event will equal to twenty percent (20%) of the total cost will be refunded.

Cancellation within seven (7) days of the event will have no refund.

Cancellation by the Restaurant: If the Restaurant must cancel the event due to unforeseen circumstances, the Client will receive a full refund of all payments made to date.
V. Client Responsibilities

Event Timeline and Coordination: The Client must provide the Restaurant with an event timeline, including details on guest arrival, food service timing, and any speeches or presentations, no later than five (5) days before the event.

Guest Behavior and Conduct: The Client is responsible for ensuring that all guests behave in accordance with the Restaurant's rules and regulations. Any damages or incidents caused by the Client's guests will be the responsibility of the Client.

Compliance with Regulations: The Client agrees to comply with all applicable laws and regulations, including noise levels, alcohol consumption, and other event-specific rules.
VI. Restaurant Responsibilities

Event Preparation: The Restaurant agrees to have the venue prepared and fully staffed by the agreed-upon start time.

Food and Beverage Service: The Restaurant will ensure that food and beverages are prepared, served, and replenished as per the agreed menu and service style.

Clean-Up and Waste Disposal: After the event, the Restaurant will be responsible for all cleaning and waste disposal related to the event space.
VII. Liability and Insurance

Liability: The Client agrees to indemnify and hold the Restaurant harmless from any liability, damage, or claims arising from the event, including but not limited to personal injury or property damage.

Insurance: The Client shall provide proof of liability insurance, if applicable, covering the event. The Restaurant will maintain its general liability insurance to cover accidents or damages arising from its staff or premises.
VIII. Force Majeure
Neither Party will be held liable for any failure or delay in performing its obligations under this Contract if such failure or delay is caused by natural disasters, government actions, strikes, pandemics, or other acts beyond the reasonable control of the affected Party.
