Resident Association Bylaws
Article I: Name and Purpose
Section 1.1: Name
The name of this organization shall be the [YOUR COMPANY NAME] (hereinafter referred to as the "Association").
Section 1.2: Purpose
The purpose of the Association shall be to promote the welfare of residents within [NAME OF COMMUNITY OR DEVELOPMENT], to enhance the quality of life, and to provide a structured means for residents to participate in community governance.
Article II: Membership
Section 2.1: Eligibility
Membership shall be open to all residents of [NAME OF COMMUNITY OR DEVELOPMENT]. Each household shall have one voting member.
Section 2.2: Dues
Annual dues shall be established by the Board of Directors and must be paid by all members in order to maintain active membership status.
Article III: Board of Directors
Section 3.1: Composition
The Board of Directors shall consist of no fewer than three (3) and no more than seven (7) members elected by the general membership.
Section 3.2: Terms
Members of the Board shall serve for a term of two (2) years and may be re-elected for one additional term.
Section 3.3: Duties
The Board shall be responsible for managing the affairs of the Association, including but not limited to:

Establishing and enforcing rules and regulations.

Planning community events and activities.

Managing the Association's finances.

Maintaining records of meetings and financial transactions.
Article IV: Meetings
Section 4.1: Regular Meetings
Regular meetings of the Association shall be held quarterly at a time and location designated by the Board of Directors.
Section 4.2: Special Meetings
Special meetings may be called by the President or by a majority of the Board. Notice of special meetings must be provided to members at least seven (7) days in advance.
Section 4.3: Quorum
A quorum shall consist of at least fifty percent (50%) of the members present at any meeting. No official business may be conducted in the absence of a quorum.
Article V: Voting
Section 5.1: Voting Rights
Each member in good standing shall have one vote. Voting may occur in person or by proxy.
Section 5.2: Election Procedures
Elections for the Board of Directors shall be held during the annual meeting. Nominations shall be accepted from the floor or submitted in writing prior to the meeting.
Article VI: Committees
Section 6.1: Establishment
The Board may establish committees as necessary to carry out the objectives of the Association.
Section 6.2: Committee Composition
Each committee shall consist of at least two (2) members and shall be chaired by a member of the Board.
Article VII: Amendments
Section 7.1: Procedure
These Bylaws may be amended at any regular meeting of the Association by a two-thirds (2/3) vote of the members present, provided that notice of the proposed amendment has been given to the membership at least thirty (30) days prior to the meeting.
Article VIII: Dissolution
Section 8.1: Dissolution Process
In the event of dissolution, any remaining assets of the Association shall be distributed to a nonprofit organization as determined by the Board of Directors, consistent with the goals of the Association.
Section 8.2: Notification
All members must be notified of the proposed dissolution at least sixty (60) days prior to the final vote.
