Bylaws for Non-Academic Club
Article I: Name
The name of this organization shall be [YOUR COMPANY NAME] (hereinafter referred to as "the Club").
Article II: Purpose
The purpose of the Club shall be to promote outdoor activities, adventure sports, and community engagement among its members. The Club aims to foster camaraderie, encourage exploration, and cultivate a passion for nature and physical fitness.
Article III: Membership
Section 1: Eligibility
Membership in the Club shall be open to all individuals aged 18 and older who share an interest in outdoor adventures, regardless of race, gender, sexual orientation, or any other characteristic.
Section 2: Membership Dues
Membership dues shall be $25 per year and shall be established by the Executive Committee. Dues must be approved by a majority vote of the members present at the annual meeting. Dues shall be used to support Club activities and initiatives.
Section 3: Rights and Responsibilities
Members shall have the right to participate in all Club activities, vote on matters brought before the membership, and run for elected office. Members are expected to uphold the values and objectives of the Club and to contribute positively to its activities.
Article IV: Officers
Section 1: Officer Positions
The officers of the Club shall consist of:

Section 2: Election and Term of Office
Officers shall be elected by a majority vote of the members present at the annual meeting. Each officer shall serve a term of one year, with the possibility of re-election.
Section 3: Duties of Officers

President: The President shall preside over meetings, represent the Club at official functions, and oversee the general operations of the Club.

Vice President: The Vice President shall assist the President and assume their responsibilities in the event of the President’s absence.

Secretary: The Secretary shall keep accurate records of all meetings, manage correspondence, and maintain membership records.

Treasurer: The Treasurer shall be responsible for the financial affairs of the Club, including the collection of dues and the preparation of financial reports.
Article V: Meetings
Section 1: Regular Meetings
Regular meetings shall be held on the first Wednesday of each month during the academic year at 7:00 PM in the Community Center Room A.
Section 2: Special Meetings
Special meetings may be called by the President or by a petition of at least one-third of the members. Members shall be notified at least five days in advance of any special meeting.
Section 3: Quorum
A quorum for the transaction of business shall consist of a majority of the members present at any regular or special meeting.
Article VI: Committees
Section 1: Establishment
The Executive Committee may establish committees as necessary to carry out the work of the Club. Each committee shall be chaired by a member appointed by the President.
Section 2: Standing Committees
Standing committees may include, but are not limited to:

Membership Committee: Responsible for recruiting and onboarding new members.

Events Committee: Plans and organizes outdoor events and activities.

Fundraising Committee: Develops initiatives to raise funds for the Club's activities.

Public Relations Committee: Manages the Club’s social media presence and outreach efforts.
Article VII: Amendments
These Bylaws may be amended by a two-thirds majority vote of the members present at any regular or special meeting, provided that notice of the proposed amendment has been given at least two weeks prior to the meeting.
Article VIII: Dissolution
In the event of the dissolution of the Club, any remaining assets after the satisfaction of debts and obligations shall be distributed to a nonprofit organization that aligns with the Club’s purpose, as determined by the Executive Committee.
This Bylaws document was adopted on September 24, 2054, and shall be effective immediately.
