1. Purpose

The purpose of this Agreement is to outline the terms and conditions under which the Vendor will operate a food truck at events organized by the Company. 2. Term

This Agreement shall commence on the 1st day of January 2050 and shall continue in effect until terminated by either party in accordance with the provisions set forth herein. The Agreement may be renewed or extended by mutual written consent of both parties.

3. Vendor Obligations

3.1 Compliance

The Vendor agrees to comply with all local, state, and federal laws and regulations applicable to the operation of the food truck, including but not limited to health and safety regulations, food handling guidelines, and labor laws. The Vendor shall ensure that all employees and agents adhere to these requirements.

3.2 Licensing

The Vendor shall obtain and maintain all necessary permits, licenses, and insurance as required by law for the operation of the food truck. This includes but is not limited to food service permits, business licenses, and liability insurance with coverage of at least [$1,000,000].

3.3 Service Delivery

The Vendor agrees to provide food and beverage services at designated events as outlined in Schedule A of this Agreement. The Vendor shall maintain a clean and sanitary food truck and shall ensure that all food is prepared and served in accordance with health and safety standards.

4. Company Obligations

4.1 Event Coordination

The Company will coordinate events at which the Vendor will operate and provide reasonable notice to the Vendor of event dates and locations. The Company agrees to provide logistical support, including information on event attendance expectations and setup times.

4.2 Promotion

The Company agrees to promote the Vendor’s services during the events and in any promotional materials, including social media posts, flyers, and email newsletters. The Company will feature the Vendor in pre-event advertising to maximize exposure.

5. Compensation

The Vendor shall pay the Company a fee based on the following structure:

5.1 Payment Structure

6. Payment Terms

6.1 Payment Schedule

Payments are due to the Company as follows:

  • Event Participation Fee: Due [10] days prior to the event date.

  • Percentage of Sales: Due within [7] days following the conclusion of each event. An itemized sales report must accompany the payment.

6.2 Late Payments

Any payment not received by the due date will incur a late fee of [$50] per day until paid in full. The Company reserves the right to suspend the Vendor's participation in future events until all outstanding payments are received.

7. Indemnification

The Vendor agrees to indemnify and hold harmless the Company from any and all claims, damages, liabilities, and expenses arising from the Vendor’s operation of the food truck. This includes any claims related to foodborne illnesses, personal injuries, or property damage caused by the Vendor's operations.

8. Termination

8.1 Termination for Cause

Either party may terminate this Agreement for cause if the other party fails to perform any material obligation under this Agreement, and such failure is not cured within [15] days after written notice is provided.

8.2 Termination Without Cause

Either party may terminate this Agreement without cause by providing [30] days written notice to the other party. In such a case, the Vendor shall be entitled to any fees paid for events not yet held, minus any costs incurred by the Company for event preparation.

9. Governing Law

10. Miscellaneous

10.1 Entire Agreement
