1. Purpose
The purpose of this Contract is to outline the terms and conditions under which the Exhibitor will display and sell artworks at the Gallery during the Exhibition period. This includes the rights, responsibilities, and expectations of both Parties to ensure a successful exhibition.

4. Responsibilities of the Parties
4.1 Responsibilities of the Exhibitor
4.1.1 The Exhibitor shall deliver the Artwork to the Gallery on or before [Delivery Date]. The delivery shall be made during business hours, and the Exhibitor must notify the Gallery at least [number of hours] hours in advance of the delivery.
4.1.2 The Exhibitor is responsible for the insurance of the Artwork until it is delivered to the Gallery and has been formally accepted by the Gallery. Insurance must cover all risks, including theft, damage, and loss.
4.1.3 The Exhibitor shall provide a detailed list of all artworks to be exhibited, including prices and insurance values, at least [number of days] days prior to the opening of the Exhibition. This list will serve as a basis for tracking and managing sales and inventory.
4.1.4 The Exhibitor will be present during the opening reception and at designated times during the Exhibition to engage with guests, provide insights about the artworks, and promote the Artwork effectively.
4.2 Responsibilities of the Gallery
4.2.1 The Gallery will provide a space for the Exhibition that meets the agreed-upon specifications, ensuring it is conducive to showcasing the Artwork effectively.
4.2.2 The Gallery shall promote the Exhibition through its marketing channels, including social media, email newsletters, press releases, and other advertising methods deemed appropriate.
4.2.3 The Gallery will handle all sales transactions related to the Artwork during the Exhibition, including processing payments and issuing receipts to buyers.
4.2.4 The Gallery shall maintain a secure environment for the Exhibition and ensure that the Artwork is protected during the Exhibition period, including the provision of adequate security measures, such as surveillance cameras or security personnel as necessary.
5. Commission and Payment
5.1 The Gallery shall receive a commission of [0]% on the sale of each Artwork during the Exhibition. This percentage will be calculated based on the final sale price agreed upon by the buyer and the Gallery.
5.2 The Exhibitor shall receive the remaining [0]% of the sale price after the Gallery’s commission. This payment shall be considered full and final compensation for the sale of the Artwork.
5.3 All sales shall be processed by the Gallery, and payment to the Exhibitor will be made within [0] days after the close of the Exhibition. Payment will be accompanied by a detailed breakdown of sales and commission.

6. Insurance and Liability
6.1 The Exhibitor shall be responsible for insuring the Artwork during the Exhibition period. The Gallery shall not be liable for any loss or damage to the Artwork unless such loss or damage is due to the Gallery’s gross negligence or willful misconduct.
6.2 The Gallery shall take reasonable precautions to protect the Artwork from theft, vandalism, and other potential risks but shall not be responsible for any loss, damage, or injury to the Artwork while it is on display.
6.3 The Exhibitor agrees to indemnify and hold harmless the Gallery from any claims, damages, or losses arising out of the Exhibition, including claims related to the Artwork, its condition, and the validity of ownership.
7. Termination
7.1 Either Party may terminate this Contract for any reason by providing written notice to the other Party at least [number of days] days prior to the opening of the Exhibition. The notice must specify the reasons for termination.
7.2 In the event of termination, the Exhibitor shall retrieve any unsold Artwork within [0] days after the termination date. Failure to retrieve Artwork may result in the Gallery taking appropriate actions, including storage or disposal.

8. Artwork Return
8.1 Upon the conclusion of the Exhibition, any unsold Artwork shall be returned to the Exhibitor. The Gallery will ensure that all returned Artwork is in the same condition as when it was received.
8.2 The Exhibitor is responsible for the cost of transportation for the return of unsold Artwork. This includes any packaging and shipping arrangements necessary for the safe return of the Artwork.
8.3 Any Artwork not retrieved by the Exhibitor within [0] days after the end of the Exhibition shall be considered abandoned and may be disposed of by the Gallery at its discretion. The Gallery shall not be held liable for any loss or damage to Artwork considered abandoned.
9. Promotional Materials
9.1 The Exhibitor grants the Gallery permission to use images of the Artwork and the Exhibitor’s name for promotional purposes related to the Exhibition, including marketing materials, press releases, and social media posts. This permission extends to both digital and print formats.
9.2 The Exhibitor shall provide high-resolution images of the Artwork and relevant promotional materials (bios, artist statements, etc.) to the Gallery no later than [number of days] days before the opening. This material will be used for marketing efforts to promote the Exhibition effectively.
10. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of [State Name]. 11. Miscellaneous
