3. Sponsor Contributions

3.1 Financial Contribution

The Sponsor agrees to pay the amount of [$XX], based on the chosen sponsorship level, within [X] days of the execution of this Agreement. Payment must be made in full before the event date to ensure the Sponsor receives the full benefits outlined in Section 2.1.

3.2 In-Kind Contributions (if applicable)

3.3 Refunds

In the event the Sponsor cancels their sponsorship after payment, refunds may be issued at the discretion of the Event Planner based on the following timeline:

No refund if cancellation occurs within [X] days of the Event date.

4. Sponsor Benefits

The Sponsor will receive the benefits associated with their chosen sponsorship level as outlined in Section 2.1. The Event Planner will ensure that all benefits are provided as specified, including but not limited to the following:

4.1 Event Marketing

The Sponsor’s logo and name will be included in marketing materials, such as flyers, brochures, digital advertisements, and social media posts, in accordance with the specifications detailed in Section 6.

4.2 Event Day Recognition

The Sponsor will be acknowledged during the Event through verbal announcements, visual displays, and printed materials (e.g., event program, signage).

4.3 Ad Placement

The Sponsor will be entitled to an advertisement in the Event program, the size of which will depend on the sponsorship level selected.

5. Obligations of the Event Planner

The Event Planner agrees to:

Organize and manage the Event, ensuring that it is executed professionally and efficiently.

Provide the Sponsor with all promised benefits and exposure as outlined in this Agreement.

Use best efforts to promote the Sponsor in accordance with the sponsorship level.

Coordinate with the Sponsor regarding deadlines for submitting logos, advertisements, and other materials for inclusion in event promotions.

6. Marketing and Branding

6.1 Logo Usage

The Sponsor shall provide a high-resolution version of their logo to the Event Planner within [X] days of signing this Agreement. The Event Planner will use the Sponsor's logo in all materials in accordance with the following guidelines:

The logo will be placed in order of sponsorship level prominence (Platinum, Gold, Silver).

The Sponsor will approve all instances of logo usage prior to publication.

Logos may be used in both digital and print formats, including but not limited to social media, event websites, email campaigns, and printed brochures.

6.2 Marketing Materials

The Event Planner will create and distribute all event-related marketing materials. The Sponsor will receive a preview of their logo placement and any sponsor-related content for approval prior to publication.

6.3 Advertisement Content

The Sponsor is responsible for providing the Event Planner with the content and design of their advertisement in the event program. The Event Planner must receive this content no later than [X] days prior to the event. If no advertisement is provided by this deadline, the Event Planner will use best efforts to create a suitable advertisement.

7. Term and Termination

This Agreement will commence on [Month Day, Year] and remain in effect until the conclusion of the Event. Either party may terminate this Agreement at any time, with or without cause, by providing [X] days written notice to the other party.

In the event of termination by the Event Planner, the Sponsor may be entitled to a refund of any amounts paid, prorated based on the amount of time the Sponsor has received benefits. 8. Indemnification

Each party agrees to indemnify and hold harmless the other party from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to this Agreement or the Event, except where such claims, damages, liabilities, costs, or expenses are caused by the gross negligence or intentional misconduct of the other party.

9. Intellectual Property

All intellectual property, including logos, trademarks, and advertising content, provided by the Sponsor to the Event Planner remains the property of the Sponsor. The Event Planner shall use such intellectual property solely for the purposes of fulfilling its obligations under this Agreement.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, or government regulations. If a force majeure event occurs, both parties will work together in good faith to reschedule the Event or find a suitable alternative arrangement.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of [Your State], without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to take place in [Your City, State].

12. Entire Agreement
