EMPLOYEE NON-COMPETE WAIVER

This Employee Non-Compete Waiver (the "Waiver") is made and entered into as of October 29, 2080, by and between WinGroup (the "Employer") and Lawrence Orn (the "Employee").

I. Purpose of the Waiver

This Waiver is intended to release the Employee from any non-compete obligations previously agreed upon in their employment contract upon the Employee's retirement or resignation.

II. Employee Information

  • Employee Name: Lawrence Orn

  • Employee Address: Phoenix, AZ 85001

  • Position: Senior Software Engineer

  • Date of Employment Commencement: January 15, 2060

  • Date of Retirement/Resignation: October 30, 2080

III. Acknowledgment of Non-Compete Clause

  • The Employee acknowledges that they previously signed a non-compete agreement dated December 1, 2061.

  • The Employee understands the restrictions outlined in that agreement, which include, but are not limited to:

    • Not engaging in similar business activities within a 50-mile radius of Springfield, IL, for a period of one year.

    • Not soliciting clients or customers of the Employer for the same duration.

IV. Waiver of Non-Compete Obligations

  • The Employer hereby waives any and all non-compete obligations that the Employee may have under the aforementioned agreement as of the Employee’s retirement/resignation date.

  • The Employee is free to pursue employment, business ventures, or any other activities without restrictions from the Employer related to non-competition.

V. Consideration

  • In consideration for this Waiver, the Employer agrees to provide the following:

    • A severance package totaling $15,000, payable upon the Employee’s departure.

    • Continued access to health benefits for three months post-retirement.

VI. Release of Claims

  • The Employee agrees to release and hold harmless the Employer, its affiliates, officers, directors, and employees from any and all claims, demands, or liabilities related to the enforcement of the original non-compete agreement.

VII. Governing Law

  • This Waiver shall be governed by and construed in accordance with the laws of the State of Arizona.

VIII. Acknowledgment of Understanding

  • The Employee acknowledges that they have read this Waiver in its entirety, understand its contents, and have had the opportunity to seek independent legal advice before signing.
