I. General Provisions

A. Parties and Purpose

This Veterinary Clinic Service Agreement ("Agreement") is entered into between [Your Company Name], a licensed veterinary service provider based in [Your Company Address], and [Client's Name] ("Client"), who owns the Animal(s) listed in this Agreement. The Client seeks to obtain veterinary care for their Animal(s), and [Your Company Name] agrees to provide professional veterinary services according to the terms outlined herein. This Agreement serves as a binding contract that governs the relationship between the Clinic and the Client.

The purpose of this Agreement is to define the terms and conditions under which [Your Company Name] will offer veterinary services to the Client’s Animals. It includes an outline of the services provided, the obligations of both parties, the applicable fees, payment terms, and responsibilities related to the Animal's health and well-being. Both the Client and the Clinic agree to uphold the conditions set forth in this Agreement to ensure the welfare of the Animal(s) and a successful working relationship between both parties.

B. Definitions

  1. Client – Refers to the individual, family, or organization that owns or cares for the Animal(s) to be treated under this Agreement. The Clinic is responsible for delivering high-quality care and maintaining a professional, safe environment for both animals and clients.

  3. Animal – Refers to any animal or pet that is the subject of this Agreement and is owned or cared for by the Client. This includes all species, whether domesticated pets, exotic animals, or livestock, as long as they are registered under the Client's account at [Your Company Name].

  4. Services – Refers to the veterinary treatments, examinations, medications, surgical procedures, diagnostic tests, and any additional treatments or services that may be provided by the Clinic to the Animal(s) as part of this Agreement. Services also include follow-up care and emergency treatment if applicable.

II. Services Provided

A. Veterinary Services Offered

  1. Preventative Care

Preventative care services are designed to help maintain the long-term health and well-being of the Animal. These services include routine wellness exams, vaccinations, parasite control (e.g., flea, tick, heartworm), and nutritional counseling. Wellness exams typically take place annually or semi-annually, depending on the Animal’s age, breed, and health status. Routine vaccinations will be administered according to the most current veterinary guidelines to protect the Animal from preventable diseases.

  2. Emergency and Urgent Care

The Clinic provides emergency and urgent care services for situations where an Animal’s health condition requires immediate attention. These services may include treatment for injuries, infections, acute illness, poisoning, and more. Emergency care may be available on a 24/7 basis, depending on the Clinic’s operational hours. For urgent care cases, the Clinic will prioritize care for severe conditions but may refer the Animal to another facility if needed during high-demand hours. Emergency fees are higher to account for the immediacy of services.

  3. Surgical Services

The Clinic offers a wide variety of surgical services, ranging from routine spay and neuter procedures to more complex surgeries such as orthopedic repair, dental surgeries, and soft tissue surgeries. Before any surgery, the Animal will undergo a thorough examination, pre-surgical blood tests, and anesthesia consultation. The Clinic ensures all surgeries are conducted with the utmost care and in a sterile, controlled environment to minimize the risks associated with surgery.

  4. Diagnostics and Imaging

The Clinic provides comprehensive diagnostic services to determine the underlying causes of health issues that may not be immediately apparent. These diagnostics include laboratory tests (bloodwork, urinalysis), radiology (X-rays), ultrasound, and specialized diagnostic imaging when necessary. Laboratory results are typically available within [24-48] hours, and the Clinic will discuss these findings with the Client to determine the best course of action for treatment.

  5. Behavioral Counseling

Behavioral issues such as aggression, anxiety, excessive barking, or litterbox problems can significantly impact the quality of life for both the Animal and the Client. [Your Company Name] offers behavioral counseling services, where trained veterinary professionals assess the Animal's behavior and provide strategies for managing or modifying undesired behavior. Counseling sessions may involve positive reinforcement techniques and may include training tips that the Client can apply in their home environment.

B. Optional Services

  1. Boarding Services

Boarding services are offered for Animals who require short-term care while their owners are away. The Clinic’s boarding facility is equipped with comfortable bedding, exercise areas, and 24-hour monitoring. Animals are fed according to their regular diet, and any special care needs such as medication administration are accommodated. Boarding services are available for small pets, cats, and some exotic animals. The Clinic also offers separate areas for larger breeds or aggressive animals to ensure comfort and safety.

  2. Grooming Services

The Clinic provides a full range of grooming services to help maintain the cleanliness and hygiene of the Animal. This includes bathing, trimming, nail clipping, ear cleaning, and brushing. Grooming sessions are tailored to the needs of each Animal, considering factors such as breed, size, coat type, and temperament. Regular grooming can help reduce the risk of infections, skin conditions, and matting, and provides a relaxing experience for the Animal.

  3. Training Programs

[Your Company Name] offers professional training programs for dogs, cats, and other pets to improve their behavior and obedience. Training sessions focus on positive reinforcement techniques to teach animals basic commands, crate training, leash walking, and socialization with other pets and people. In cases of severe behavioral issues, more intensive behavior modification programs may be available, with customized plans to address specific concerns.

  4. Telemedicine Services

For the convenience of the Client, the Clinic offers telemedicine services for consultations on non-emergency situations. These services are ideal for follow-up consultations, minor health concerns, or general advice on pet care. Telemedicine appointments are available via video calls or phone calls, depending on the Client’s preference and the nature of the consultation. Clients will be provided with an estimated cost for these services prior to the appointment.

C. Client's Responsibilities

  1. Animal Records and History

The Client must provide accurate and complete medical records for each Animal prior to any treatment. This includes vaccination records, prior surgeries, allergies, ongoing medications, and any known medical conditions. The Client agrees to update the Clinic with any changes to the Animal's health history to ensure continuity of care. The Clinic reserves the right to refuse treatment if essential medical history is withheld or if the Client fails to provide adequate information.

  2. Scheduling Appointments

It is the responsibility of the Client to schedule appointments in advance for non-emergency services. The Clinic makes every effort to accommodate urgent care requests, but regular appointments should be scheduled with enough notice to avoid delays. For non-urgent services, appointments should be made at least [7-14] days in advance. If the Client needs to cancel or reschedule an appointment, the Clinic requires at least [24] hours' notice. Cancellations made within [24] hours of the scheduled time will incur a cancellation fee of $[10].

  3. Compliance with Treatment Protocols

The Client agrees to comply with the treatment protocols outlined by the Clinic's veterinarians and staff. This includes adhering to prescribed medications, following post-surgery instructions, attending follow-up appointments, and monitoring the Animal’s recovery as recommended. If the Client does not comply with the treatment protocol, [Your Company Name] is not responsible for any adverse outcomes or complications that may arise.

III. Fees and Payment Terms

A. Service Fees and Billing

  1. Standard Fees

All veterinary services provided by [Your Company Name] are billed according to the established fee schedule, which is made available to the Client at the time of service. The Clinic’s fee structure is based on factors such as the complexity of the service, the type of Animal, and the time required to complete the treatment. The Client acknowledges that fees are subject to change annually, and any changes will be communicated at least [30] days in advance.

  2. Emergency and After-Hours Fees

Emergency and after-hours services are billed at a higher rate due to the expedited care required outside of normal working hours. For example, emergency consultations may incur a base fee of $[100] plus additional charges for treatments, medications, and diagnostics performed during the emergency visit. After-hours care may carry a surcharge of $[25] per hour.

  3. Optional Services and Discounts

The Clinic offers discounts for Clients who have multiple Animals under care, or for those who regularly utilize certain services such as boarding or grooming. Discounts may also apply to long-term care plans or preventive care packages. The Client is encouraged to inquire about potential discounts or promotions that may be available at the time of service.

B. Payment Terms and Schedule

  1. Payment Due at Service Completion

The Client agrees to pay for services rendered at the time of service completion, unless otherwise arranged. Payments are due immediately following the treatment or procedure. The Clinic accepts a variety of payment methods, including cash, credit or debit cards, and electronic payment options.

  2. Payment Plans

For major procedures or surgeries that involve substantial costs, the Clinic offers flexible payment plans to make payments manageable for the Client. These plans may be structured over [3] to [12] months, depending on the total cost and the Client's ability to meet the financial terms. The Client must agree to the terms of the payment plan, including interest rates (if applicable) and due dates. Late payments are subject to a fee of $[15] per missed payment.

IV. Termination and Modifications

  1. Termination by the Clinic

[Your Company Name] reserves the right to terminate this Agreement and discontinue services if the Client fails to comply with the terms of this Agreement, including failure to pay for services rendered, failure to provide accurate information, or failure to cooperate with medical recommendations for the Animal’s care. In such cases, the Client will be notified in writing and given a period of [30] days to rectify the situation before the termination becomes effective.

  2. Termination by the Client

The Client may terminate this Agreement at any time by providing written notice to the Clinic. Upon termination, the Client will be responsible for any outstanding fees incurred up until the date of termination, and the Animal’s records will be made available to the Client upon request.

V. Confidentiality and Privacy

  1. Data Protection and Privacy

The Clinic respects the confidentiality of all information shared by the Client and ensures that all Animal and Client data is stored securely, complying with applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR) and Health Insurance Portability and Accountability Act (HIPAA) standards where applicable. All records related to the Animal and Client are confidential and will not be shared with third parties without explicit consent unless required by law.

  2. Access to Records

The Client has the right to access and request copies of their Animal’s medical records at any time. Requests for records should be made in writing and may be subject to a nominal fee for copying and processing. Any inaccuracies in records may be corrected upon the Client’s request.

VI. Dispute Resolution and Legal Terms

A. Dispute Resolution

  1. Mediation Process

In the event of any disputes arising from this Agreement, both parties agree to first attempt to resolve the matter through informal negotiation. If informal discussions fail to resolve the dispute, both parties agree to submit to mediation. Mediation shall be conducted by a neutral third-party mediator who will attempt to facilitate a mutually agreeable resolution. The costs associated with mediation will be shared equally by both parties. If the dispute is not resolved through mediation, both parties may then pursue legal action in accordance with the terms outlined below.

  2. Arbitration

If mediation fails to resolve the dispute, the parties agree to submit to binding arbitration. The arbitration shall be conducted in [City/State] under the rules of the American Arbitration Association or any other governing body agreed upon by both parties. The decision rendered by the arbitrator(s) will be final and binding, and judgment may be entered in any court having jurisdiction. The costs of arbitration, including legal fees, will be borne by the losing party, unless otherwise decided by the arbitrator.

  3. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where [Your Company Name] operates, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located within the jurisdiction in which [Your Company Name] is based. The parties consent to the jurisdiction and venue of these courts for any such actions.

B. Force Majeure

  1. Unforeseeable Circumstances

Neither party shall be liable for any failure or delay in performing their obligations under this Agreement due to causes beyond their reasonable control. These causes may include, but are not limited to, acts of God, natural disasters, pandemics, strikes, government restrictions, or any other event that is outside the direct control of either party. In such cases, the affected party shall notify the other party as soon as possible, and the performance of obligations will be suspended for the duration of the force majeure event.

  2. Duty to Mitigate

Both parties agree to make reasonable efforts to mitigate the effects of any force majeure event. This includes seeking alternative methods to perform obligations under the Agreement or finding substitute services where applicable.
