I. The Parties

This Real Estate Confidentiality Agreement Form ("Agreement") is made and entered into on Month Day, Year, by and between [Your Company Name], with a primary address at [Your Company Address] ("Company"), and Recipient's Name, with a primary address at Recipient's Address ("Recipient"). The Company and Recipient may collectively be referred to as the ("Parties") or individually as a ("Party").

WHEREAS, the Company has confidential information related to real estate opportunities that it wishes to disclose to the Recipient for consideration;

WHEREAS, the Recipient acknowledges the confidential and proprietary nature of the information received;

WHEREAS, the Parties desire to enter into this Agreement to protect and preserve the confidentiality of the information;

NOW THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

II. Confidential Information

1. "Confidential Information" includes, but is not limited to, property details, business plans, pricing structures, market analysis, and other information not generally known to the public.

2. Confidential Information shall not include information that (a) is or becomes publicly known without breach of this Agreement, (b) was already in the Recipient's possession prior to receipt from the Company, or (c) is independently developed by the Recipient.

III. Obligations of Confidentiality

1. The Recipient agrees to hold all Confidential Information in strict confidence and not to disclose it to any third party without prior written consent from the Company.

2. The Recipient shall take reasonable security measures to protect the Confidential Information from unauthorized access or use.

3. The Recipient agrees to use the Confidential Information solely for purposes related to potential real estate transactions with the Company.

IV. Duration

This Agreement and the obligations of confidentiality shall remain in effect for a period of No. of Years years from the date of disclosure, unless extended by written agreement of the Parties.

V. Return or Destruction of Information

Upon termination of discussions or at the Company’s request, the Recipient shall return or destroy all materials containing Confidential Information.
