4. Term of Agreement

5. Responsibilities of Each Party
5.1 Responsibilities of Party A (GreenFuture Technologies)
Provide technical expertise and design resources for the charging station’s hardware and infrastructure.
Ensure regulatory compliance for installation and operation in designated urban areas.
Supply funding for initial research and development phases, totaling $2 million.
5.2 Responsibilities of Party B (EcoEnergy Solutions)
Develop energy management software to optimize storage and distribution at the charging stations.
Oversee on-site installations and maintenance during the pilot project phase.
Conduct market research and provide insights into urban energy usage trends.
6. Confidentiality
Both parties agree to keep confidential any proprietary or non-public information conveyed to each other during the duration of this Agreement, including but not limited to technical data, financial details, and project strategies.
7. Termination
Either party may terminate this Agreement upon 90 days’ written notice to the other party if the terms of the Agreement are not met.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, USA.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, with respect thereto.
