Printable Business Agreement Between Two Parties
This Business Agreement (hereinafter referred to as the "Agreement") is entered into on this April 15, 2062, by and between:

WinGroup, located at Seattle, WA 98101, (hereinafter referred to as "Party B").
Party A and Party B are collectively referred to as the "Parties."
1. PURPOSE OF THE AGREEMENT
The purpose of this Agreement is to establish the terms and conditions under which the Parties will collaborate on the development and implementation of an AI-powered education management platform.
2. TERMS OF THE AGREEMENT
2.1 Scope of Work
Party A agrees to provide the following services:
Develop, test, and deploy an AI-powered education management platform tailored to Party B’s requirements.
Offer training and support for Party B’s team on platform usage.
Party B agrees to provide the following services:
Supply all necessary data, system access, and user requirements to facilitate platform development.
Handle promotional and marketing activities post-deployment.
2.2 Term and Termination
This Agreement shall commence on May 1, 2062, and remain in effect until December 31, 2062, unless terminated earlier by mutual consent or under the provisions of this Agreement.
3. COMPENSATION
3.1 Payment Terms
Party B agrees to compensate Party A with $500,000 for the services rendered.
Payment will be made in three installments as follows:
First payment of $200,000 on May 1, 2062.
Second payment of $150,000 on August 1, 2062.
Final payment of $150,000 on December 1, 2062.
3.2 Payment Method
Payments will be made via bank transfer to the account designated by Party A.

5. CONFIDENTIALITY
Both Parties agree to keep all proprietary information, trade secrets, and other confidential material exchanged during this Agreement strictly confidential. This obligation will remain in effect for two years following the termination of this Agreement.
6. DISPUTE RESOLUTION
In case of disputes arising under this Agreement, the Parties agree to resolve such disputes amicably through negotiation. If no resolution is reached, the dispute shall be referred to arbitration in Seattle, Washington.
7. INDEMNITY
Each Party agrees to indemnify and hold harmless the other Party from any claims, damages, or liabilities arising out of any breach of this Agreement or negligence on their part.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Washington.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral.
10. SIGNATURES
This Agreement is signed on the date first above written and is effective upon the signatures of both Parties.
