I. Scope of Services
The Service Provider agrees to perform maintenance services for the following:

II. Contract Duration
This agreement shall commence on January 1, 2051, and remain valid until December 31, 2053. The contract may be renewed upon mutual consent, provided a written agreement is signed by both parties no later than November 30, 2053.
III. Payment Terms
The total cost of the services is $12,000, payable as follows:

Initial Payment: 50% ($6,000) upon signing this agreement.

Balance: 50% ($6,000) due on December 31, 2051.
All payments must be made via bank transfer to the account specified by TechCare Solutions. Late payments will incur a 2% late fee per month.
IV. Roles and Responsibilities

Provide qualified personnel and all necessary tools for maintenance.

Respond to service requests within 48 hours of notification.

Notify the Client in advance of any additional costs due to unforeseen issues.

Notify the Service Provider of any emergencies immediately.

Provide a safe working environment for the maintenance personnel.

V. Termination Clause
Either party may terminate this agreement by providing 30 days' written notice to the other party. Upon termination, the Client agrees to settle any outstanding payments for services rendered up to the date of termination.
VI. Dispute Resolution
In case of any disputes, both parties agree to resolve the matter through mutual consultation. If unresolved, disputes shall be referred to arbitration in accordance with the law.
VII. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the term of this agreement. This clause will survive the termination of the agreement.
VIII. Miscellaneous

Entire Agreement: This document constitutes the entire agreement between the parties.

Force Majeure: The Service Provider shall not be held liable for delays caused by events beyond their reasonable control, including but not limited to natural disasters or government restrictions.

Amendments: Any changes to this agreement must be made in writing and signed by both parties.
