I. Scope of Services
The Photographer agrees to provide the following services to the Client:

Event Photography Services: Capturing high-quality photographs during specified events, including but not limited to corporate gatherings, conferences, and private functions.

Photo Editing and Retouching: Delivering professionally edited and retouched images, ensuring optimal quality and alignment with the client’s specifications.

Photo Delivery: Providing digital copies of the final photos in high resolution via a secure platform or external storage device, as agreed upon.

Pre-Event Consultation: Conducting consultations to understand the event schedule, specific photo requirements, and any special requests.

Additional Services: Any additional services, such as videography, album creation, or special effects editing, will be outlined in a separate Work Order and billed accordingly.
II. Client Responsibilities

Provide Event Details: Submit a detailed schedule, including location, timing, and any specific moments or individuals to be captured.

Ensure Accessibility: Facilitate reasonable access to event venues, key participants, and required facilities for the Photographer' team.

Communicate Expectations: Clearly communicate specific retouching or editing preferences before the editing process begins.

Grant Usage Permissions: Confirm that permissions are granted for photography at the event, including any necessary venue or participant approvals.

Timely Payment: Adhere to the payment terms outlined in this Agreement to ensure uninterrupted service delivery.
III. Payment Terms

Service Fees: The total fee for the agreed services is ten thousand dollars ($10,000).

Deposit Requirement: A non-refundable deposit of fifteen percent (15%) is required upon signing this Agreement to secure the booking.

Final Payment: The remaining balance is due within ten (10) days after the delivery of the final images.

Additional Charges: Extra costs may apply for services not covered under this Agreement, such as last-minute requests or travel expenses outside the agreed scope.

Late Payments: Payments overdue by more than twenty (20) days will incur a late fee of one hundred dollars ($100).
IV. Ownership and Usage Rights

Client Rights: Upon full payment, the Client will receive exclusive usage rights to the final images for commercial or personal use.

Photographer Rights: The Photographer retains the right to use the images for promotional purposes, including website portfolios or marketing materials, unless explicitly restricted by the Client in writing.

Copyright: The Photographer retains copyright ownership of all photographs unless a full transfer of rights is agreed upon and additional fees are paid.

Third-Party Usage: The Client must obtain written consent from the Photographer to transfer or sublicense the images to any third party.

Confidentiality: All event details and images will be kept confidential and will not be shared outside of agreed uses.
V. Delivery Terms

Turnaround Time: The final edited images will be delivered within three (3) business days after the event. Rush delivery may be available for an additional fee.

Delivery Format: Images will be provided in JPEG, PNG, or TIFF formats, either via a secure online gallery, cloud storage, or physical storage device as agreed.

Revision Policy: One round of minor revisions is included in the agreed fee. Additional revisions will incur a charge of one hundred dollars ($100) per request.

Backup Policy: The Photographer will store backup copies of the photos for up to two (2) months after delivery. It is the Client's responsibility to maintain backups beyond this period.

Rush Services: Expedited delivery, if requested, will be billed at an additional rate.
VI. Limitation of Liability

Subjectivity of Services: While every effort is made to meet the Client's expectations, photography is a subjective art form, and absolute satisfaction cannot be guaranteed.

Event Disruptions: The Photographer is not responsible for poor image quality caused by circumstances beyond its control, such as low lighting, restrictions at the venue, or participant non-cooperation.

Force Majeure: In the event of unforeseen circumstances, the Photographer will make reasonable efforts to find a substitute photographer or reschedule the service.

Liability Limit: The Photographer's liability is limited to the total fee paid under this Agreement.

Client-Supplied Content: The Photographer is not responsible for issues arising from content provided by the Client.
VII. Miscellaneous
