Property Maintenance Contract


This Property Maintenance Contract (the "Contract") is made and entered into as of January 1, 2050, by and between [Your Company Name], a company duly organized and existing under the laws of Pennsylvania, with its principal office located at [Your Company Address], (hereinafter referred to as the "Service Provider"), and IntelShop, a corporation with its principal office located at Philadelphia, PA 19102, (hereinafter referred to as the "Client").


I. Purpose of Agreement

The purpose of this Contract is to outline the terms and conditions under which the Service Provider will perform routine and emergency maintenance services for the Client's property located at Philadelphia, PA 19102 (hereinafter referred to as the "Property").


II. Scope of Services

The Service Provider agrees to provide the following maintenance services for the Property:

1. Routine Maintenance

  • The Service Provider will perform regular inspections and maintenance of the Property's systems, including plumbing, electrical, HVAC, and any other systems as agreed upon by both parties. Routine maintenance includes inspections, cleaning, lubrication, minor repairs, and adjustments to ensure proper operation.

2. Emergency Repairs

  • The Service Provider will respond to emergency repair requests made by the Client, including but not limited to plumbing, electrical, HVAC system failures, and other property issues that require urgent attention. The Service Provider will respond within 4 hours of the request for emergency services.

3. Seasonal Maintenance

  • The Service Provider will perform seasonal maintenance checks and services, including ensuring the Property’s systems are prepared for the change in seasons (e.g., air conditioning units in summer, and heating units in winter).

4. Replacement of Parts

  • Should any part or system require replacement, the Service Provider will notify the Client and provide a written estimate of the cost for replacement, including labor and materials. The Client must approve all replacements in writing before the Service Provider proceeds.

5. Cleaning Services

  • The Service Provider will provide regular cleaning services for common areas and ensure all systems are free from debris that could affect their performance. Cleaning will include, but is not limited to, gutters, ducts, and other equipment.

6. Documentation and Reporting

  • The Service Provider will maintain accurate records of all inspections, maintenance activities, repairs, and replacements performed on the Property. A report summarizing all completed work will be submitted to the Client on a monthly basis.


III. Term of Agreement

This Contract shall be effective from January 1, 2050, and will remain in effect for a period of 12 months, unless terminated earlier in accordance with the termination provisions contained in this Contract. The Contract may be renewed upon mutual agreement by both parties.


IV. Payment Terms

The Client agrees to pay the Service Provider for the services outlined in this Contract according to the following terms:

1. Service Fees

  • The Client shall pay an annual maintenance fee of $18,000 for all routine maintenance services, with payments due in equal monthly installments of $1,500, beginning on January 1, 2050.

2. Additional Services and Costs

  • For any work beyond the scope of routine maintenance, including emergency repairs or replacement of parts, the Client will be billed separately. The Service Provider will provide the Client with an estimate for approval before proceeding with any work that incurs additional charges.

3. Late Payment

  • Any payments not received within 15 days of the due date will incur a late fee of $100 per month.

4. Payment Method

  • All payments should be made via wire transfer or any other mutually agreed-upon method. The Client is responsible for ensuring payments are made on time.


V. Responsibilities of the Client

1. Access to Property

  • The Client agrees to provide the Service Provider with access to the Property during normal business hours to allow the Service Provider to perform the maintenance services outlined in this Contract. The Client will ensure that all areas requiring maintenance are accessible.

2. Notification of Issues

  • The Client agrees to promptly notify the Service Provider of any issues or failures with systems covered under this Contract. This includes any suspected malfunctions or breakdowns of the Property's infrastructure or equipment.

3. Cooperation

  • The Client agrees to cooperate with the Service Provider and follow any advice or recommendations provided for the proper maintenance of the Property.


VI. Warranties and Representations

1. Service Provider Warranty

  • The Service Provider warrants that all services will be performed in a professional manner, in accordance with industry standards. The Service Provider guarantees that any parts replaced under this Contract will be of good quality and function as intended.

2. Client Warranty

  • The Client warrants that the Property is in good condition and free from any hidden defects or conditions that could impede the proper performance of maintenance services. The Client further warrants that the Property will be used in a manner consistent with safety and legal standards.


VII. Termination of Agreement

1. Mutual Agreement

  • This Contract may be terminated by mutual written agreement of both parties.

2. Breach of Contract

  • Either party may terminate the Contract if the other party commits a material breach and fails to remedy the breach within 30 days after receiving written notice.

3. Non-Payment

  • The Service Provider may terminate the Contract if the Client fails to make timely payments, as outlined in the Payment Terms section, and does not remedy the failure within 15 days of receiving written notice of non-payment.


VIII. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this Contract, including but not limited to business practices, pricing information, and operational details. Neither party will disclose such information to third parties without the express written consent of the other party.


IX. Liability and Indemnity

1. Service Provider Liability

  • The Service Provider will not be held liable for any indirect, incidental, or consequential damages arising from the maintenance, repair, or failure of systems on the Property, except in cases of gross negligence or willful misconduct.

2. Client Indemnity

  • The Client agrees to indemnify and hold the Service Provider harmless from any claims, damages, or losses arising out of the Client's misuse or neglect of the Property or its systems.


X. Dispute Resolution

In the event of any dispute under this Contract, the parties agree to seek resolution through good faith negotiation. If the matter cannot be resolved amicably, the parties agree to resolve the dispute through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).


XI. Miscellaneous

1. Governing Law

  • This Contract shall be governed by and construed in accordance with the laws of the state of Pennsylvania.

2. Entire Agreement

  • This Contract constitutes the entire agreement between the parties and supersedes all prior discussions, understandings, or agreements, whether oral or written.

3. Force Majeure

  • Neither party will be held responsible for any failure or delay in performance due to causes beyond their control, including but not limited to natural disasters, government action, or strikes.
