I. Purpose of Agreement
This Contract sets forth the terms and conditions under which the Service Provider will provide ongoing maintenance services for the closed-circuit television (CCTV) systems installed at the Client's premises. The purpose of this maintenance is to ensure the continuous operation, optimal performance, and security of the CCTV system, allowing for effective surveillance and monitoring at all times.
II. Scope of Services
The Service Provider agrees to provide the following services under this Contract:
1. Routine Inspections and Preventive Maintenance

The Service Provider will conduct periodic inspections of the CCTV system to ensure all components are functioning correctly. These inspections will include checking the cameras, recording devices, power supplies, wiring, and connections.

Preventive maintenance activities will be carried out to identify and address potential issues before they cause system failures. This includes cleaning the cameras, adjusting their focus and angles, testing the recording equipment, and ensuring that backup power supplies are functional.
2. Emergency Repairs and Support

The Service Provider shall provide emergency repair services if the CCTV system experiences a malfunction, including system downtime or component failure. These repairs will be conducted promptly, with the goal of restoring system functionality within 24 hours of notification by the Client.

Emergency support will be available 24/7, with service technicians dispatched as needed to resolve critical issues.
3. Software Updates and Upgrades

The Service Provider will provide software updates for the CCTV system, including firmware updates for cameras, digital video recorders (DVRs), network video recorders (NVRs), and other system components. These updates will ensure that the system remains secure and performs optimally.

Recommendations for upgrades to improve system performance, security, or features will be provided to the Client. The Client must approve any such upgrades in writing before they are implemented.
4. Documentation and Reporting

The Service Provider will maintain comprehensive records of all inspections, maintenance, repairs, and upgrades performed on the CCTV system. The Client will receive a quarterly maintenance report detailing the work completed, including any recommendations for system improvements.
III. Term of Agreement
This Contract will commence on January 1, 2050, and will remain in effect for a period of 12 months, unless terminated earlier as described in Section VI (Termination). The Contract may be renewed for additional terms upon mutual written agreement by both parties.
IV. Payment Terms
1. Service Fees

The Client agrees to pay the Service Provider an annual maintenance fee of $15,000, which will cover all routine maintenance services, including inspections, preventive maintenance, and software updates. This amount will be payable in monthly installments of $1,250, due on the first day of each month.
2. Additional Charges

If emergency repairs, upgrades, or additional services are required beyond those specified in this Contract, the Service Provider will provide a written estimate, which must be approved by the Client before work begins. The Client will be invoiced for these additional services at the Service Provider's standard hourly rates and material costs.
3. Late Payments

Invoices that remain unpaid after 15 days of the due date will incur a late fee of $100. If payment is not received within 30 days of the due date, the Service Provider reserves the right to suspend services until payment is made in full.

V. Responsibilities of the Client

2. Notification of Issues

3. Termination for Non-Payment

If the Client fails to make timely payments, the Service Provider may terminate this Contract after providing 15 days' written notice. The Client will remain responsible for any outstanding payments for services rendered up to the termination date.
VII. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information exchanged during the course of this Contract. Neither party shall disclose such information to third parties without the prior written consent of the other party, except as required by law.
VIII. Liability and Indemnity
1. Service Provider Liability

The Service Provider’s liability for any direct damages arising out of this Contract is limited to the total amount paid by the Client for services rendered under this Contract. The Service Provider will not be liable for any indirect, incidental, or consequential damages resulting from system downtime or failure.
2. Client Indemnity

The Client agrees to indemnify and hold the Service Provider harmless from any claims, damages, or losses arising out of the Client’s use of the CCTV system, including but not limited to third-party claims, unless such claims arise from gross negligence or willful misconduct by the Service Provider.
IX. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to this Contract, the parties agree to resolve the issue first through negotiation in good faith. If such negotiations are unsuccessful, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
X. Miscellaneous
1. Governing Law

2. Entire Agreement
