I. Introduction

II. Scope of Services

1. Preventive Maintenance

2. Emergency Repairs and Support

3. Software and System Updates

  • The Service Provider will ensure that all relevant software and firmware are kept up-to-date, ensuring continued functionality, performance, and security. This includes periodic updates, patches, and upgrades to the systems covered under this Contract.

4. Documentation and Reporting

  • The Service Provider will maintain a comprehensive log of all maintenance activities and repairs performed. The Client will receive detailed reports after each maintenance or repair visit, which will include a summary of the work performed and any recommendations for further action.


III. Term and Termination

1. Term

  • This Maintenance Contract will begin on January 1, 2050, and continue for a period of 12 months, ending on December 31, 2050. After this period, the Contract may be renewed by mutual agreement of both parties.

2. Termination

  • Either party may terminate this Contract with 30 days’ written notice if there is a material breach by the other party. Upon termination, all outstanding fees for services rendered up to the termination date will be payable by the Client.


IV. Payment Terms

1. Maintenance Fees

  • The Client agrees to pay the Service Provider an annual maintenance fee of $20,000, payable in monthly installments of $1,667. Payments will be due on the 1st day of each month.

2. Additional Charges

  • Any additional work, upgrades, or emergency repairs beyond the scope of this Contract will incur additional charges. A detailed estimate will be provided to the Client for approval before work begins.

3. Payment Method

  • The Service Provider’s liability for any direct damages arising from the provision of services under this Contract is limited to the total amount paid by the Client for services rendered in the 30 days preceding the event causing the liability.

2. Client’s Indemnity

  • The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or losses resulting from the Client’s use of the maintained systems, except in cases where such claims arise due to the Service Provider’s gross negligence or willful misconduct.


VII. Confidentiality

Both parties agree to maintain confidentiality of all proprietary or confidential information exchanged during the term of this Contract. Neither party shall disclose such information to any third party without prior written consent from the other party unless required by law.


VIII. Dispute Resolution

In the event of any dispute or controversy arising from or related to this Contract, the parties agree to first attempt resolution through good-faith negotiation.
