Scheduled Maintenance Agreement
This Scheduled Maintenance Agreement (the "Agreement") is made and entered into as of January 1, 2050, by and between [Your Company Name], a corporation duly organized and existing under the laws of Nevada, with its principal office located at [Your Company Address] (hereinafter referred to as the "Service Provider"), and DynaFive, a corporation duly organized and existing under the laws of Maryland, with its principal office located at Baltimore, MD 21201 (hereinafter referred to as the "Client").
I. Scope of Maintenance Services
The Service Provider agrees to provide the Client with scheduled maintenance services as outlined in this Agreement. These services will be provided on a regular basis as specified in the maintenance schedule, including all necessary checks, repairs, and preventive maintenance to ensure the optimal performance of the Client's equipment and systems.
II. Maintenance Schedule
1. Frequency of Maintenance

Maintenance services will be conducted on a monthly basis, or as otherwise agreed upon by both parties, beginning from the effective date of this Agreement.
2. Maintenance Timetable

The specific dates and times for each maintenance visit will be determined in advance by mutual agreement between the Service Provider and the Client. Any changes to the timetable must be communicated and agreed upon at least 14 days in advance.
3. Duration of Service

Each maintenance visit will be completed within a reasonable time frame, typically not exceeding 4 hours, depending on the complexity of the required tasks.
III. Maintenance Services to Be Provided
1. Preventive Maintenance

The Service Provider will perform routine checks and adjustments to ensure all systems and equipment are operating within their specified parameters.
2. Repairs

If during the maintenance visit, any issues are identified, the Service Provider will promptly notify the Client and perform necessary repairs. Costs for repairs beyond the scope of this Agreement will be billed separately.
3. Parts Replacement

The Service Provider will replace any faulty or worn-out parts, provided they are covered under the original warranty or as agreed upon in the schedule of repairs.
IV. Fees and Payment Terms
1. Service Fees

The Client agrees to pay the Service Provider a fixed monthly fee of $1,500.00, payable on the 1st of each month for the duration of this Agreement.
2. Additional Charges

Any services beyond the agreed-upon scope, such as emergency repairs or services outside the regular maintenance schedule, will be subject to additional charges. These services will be billed at the rate of $150.00 per hour.
3. Payment Terms

Payment is due 30 days from the date of invoice. Any overdue payments will incur a late fee of $50.00 per month.
V. Responsibilities of the Parties
1. Responsibilities of the Service Provider

The Service Provider shall ensure that all maintenance services are performed by qualified technicians and will supply all necessary tools, parts, and equipment.
2. Responsibilities of the Client

The Client shall provide the Service Provider with reasonable access to the premises and systems requiring maintenance. The Client must also notify the Service Provider of any issues that require urgent attention outside the regular maintenance schedule.
VI. Term and Termination
1. Term

This Agreement shall commence on January 1, 2050, and continue for an initial term of 12 months, automatically renewing for successive terms of one year unless terminated by either party as provided in this Agreement.
2. Termination

Either party may terminate this Agreement with 30 days' written notice. In the event of termination, the Client will be responsible for all fees accrued up to the termination date.
VII. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the term of this Agreement. This obligation will continue even after the termination of this Agreement.
VIII. Dispute Resolution
Any disputes arising from or relating to this Agreement will first be addressed through informal negotiations. If a resolution is not reached, the dispute will be submitted to binding arbitration in Nevada, under the rules of the American Arbitration Association.
IX. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of laws provisions.
