This Building Operations and Maintenance Contract ("Contract") is entered into as of December 2, 2050, by and between:

This Contract establishes the terms and conditions for the provision of building operations and maintenance services as described below.
I. Scope of Services
1.1 General Services
The Service Provider agrees to provide the Client with comprehensive building operations and maintenance services ("Services") at the Client's facility located at Oklahoma City, OK 73101. These Services will include, but are not limited to, the following:

Routine inspections of HVAC, electrical, plumbing, and safety systems.

Preventative maintenance and repair of equipment.

Emergency response services as needed.

Coordination with third-party vendors for specialized maintenance services, if required.
1.2 Additional Services
Any additional services not specifically outlined in this Agreement will be subject to a separate agreement and may incur additional costs. The Client will receive prior written approval for all such services.
1.3 Service Hours
The Service Provider will perform services during the following hours:

Monday through Friday: 8:00 AM – 6:00 PM

Emergency services outside of these hours will be provided as needed.
II. Term of Agreement
2.1 Commencement Date
This Contract will commence on December 2, 2050, the effective date of this Contract.
2.2 Duration of Agreement
The term of this Agreement shall be for a period of one (1) year from the Commencement Date, unless terminated earlier pursuant to the provisions of this Contract.
2.3 Renewal
This Contract may be renewed for additional one-year terms upon mutual agreement by both parties. The renewal will be discussed and agreed upon no less than thirty (30) days prior to the expiration of the current term.
III. Payment Terms
3.1 Fees
The Client agrees to pay the Service Provider the total sum of $5,000 per month for the services provided under this Contract. The monthly fee includes the services described in Section I.
3.2 Invoices
The Service Provider will issue invoices to the Client on a monthly basis. Payment is due within thirty (30) days from the date of the invoice. All payments should be made to the account specified by the Service Provider.
3.3 Late Payments
In the event that any payment is not made within the specified timeframe, the Client agrees to pay a late fee of $200 or 5% of the outstanding balance for every 15 days the payment is overdue.
IV. Responsibilities of the Parties
4.1 Responsibilities of the Service Provider
The Service Provider agrees to the following responsibilities:

Perform the services outlined in Section I of this Contract in a timely and professional manner.

Maintain appropriate qualifications and licenses to perform the required services.

Ensure all maintenance activities are performed in compliance with applicable laws and industry standards.
4.2 Responsibilities of the Client
The Client agrees to the following responsibilities:

Provide the Service Provider with access to the building and any necessary equipment.

Provide timely notification of any specific building or system issues that require immediate attention.

Pay all fees and charges due under this Contract in accordance with Section III.
V. Confidentiality and Security
5.1 Confidentiality
Both parties agree to keep confidential all proprietary and confidential information obtained during the course of this Contract. This obligation shall continue after the termination or expiration of the Contract.
5.2 Security Access
The Client will provide the Service Provider with necessary access credentials and security clearance to ensure proper access to the facility and systems.
VI. Termination of Agreement
6.1 Termination for Convenience
Either party may terminate this Agreement for convenience by providing no less than thirty (30) days' written notice to the other party.
6.2 Termination for Cause
Either party may terminate this Agreement immediately if the other party fails to fulfill any of its material obligations under the Contract and fails to cure such breach within 30 days of receiving written notice of the breach.
6.3 Effects of Termination
Upon termination of this Contract, all outstanding fees for services rendered up to the termination date will be due and payable. Both parties agree to return any property or confidential information belonging to the other party.
VII. Indemnity and Liability
7.1 Indemnity
Both parties agree to indemnify and hold harmless the other party from and against any claims, liabilities, damages, or expenses arising out of or in connection with the performance of this Contract, except for any claims resulting from gross negligence or willful misconduct.
7.2 Limitation of Liability
The liability of either party for any claim under this Contract shall be limited to the amount paid by the Client for services provided during the six (6) months immediately preceding the event giving rise to the claim.
VIII. Governing Law and Dispute Resolution
8.1 Governing Law
This Contract shall be governed by and construed in accordance with the laws of the state of Oklahoma.
8.2 Dispute Resolution
In the event of any dispute arising out of or in connection with this Contract, the parties agree to first attempt to resolve the dispute through informal negotiation. If the dispute cannot be resolved within 30 days, the parties agree to submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA).
IX. Signatories
This Agreement is executed by the undersigned authorized representatives of the parties, who affirm that they have the authority to enter into this Contract and bind the respective parties.
