This Maintenance Engineer Contract ("Contract") is made and entered into on December 2, 2050, by and between Ena Cassin of BluCurrent, located at Louisville, KY 40201, and [Your Name] of [Your Company Name], located at [Your Company Address]. The Contract outlines the terms under which [Your Company Name] will provide maintenance engineering services for the Client’s facility in Louisville, KY 40201.


I. Scope of Services

1.1 General Maintenance Services

The Service Provider agrees to provide maintenance engineering services ("Services") at the Client’s premises. These services will include, but are not limited to:

  • Routine inspections and maintenance of all mechanical, electrical, and plumbing systems.

  • Preventative maintenance to ensure operational efficiency and safety of equipment.

  • Troubleshooting and repairing systems as necessary.

  • Coordination and oversight of third-party vendors for any specialized equipment needs.

  • Maintaining detailed service records, including inspections, maintenance schedules, and repairs performed.

1.2 Emergency Services

The Service Provider will provide emergency maintenance services in the event of system breakdowns or urgent repairs outside of the routine maintenance schedule. Emergency services will be available on a 24/7 basis, with response times based on the urgency of the situation.

1.3 Service Hours

The Service Provider will generally provide services from Monday to Friday between 8:00 AM and 6:00 PM. Emergency services outside these hours will be handled based on the situation's urgency.


II. Term of Agreement

2.1 Commencement Date

This Contract will commence on December 2, 2050, and will be effective from that date.

2.2 Duration of Agreement

The term of this Agreement shall be one (1) year from the Commencement Date, unless terminated earlier in accordance with Section VI of this Contract.

2.3 Renewal

This Contract may be renewed for additional one-year terms, provided both parties agree in writing no less than thirty (30) days prior to the expiration of the current term.


III. Payment Terms

3.1 Fees

The Client agrees to pay the Service Provider a monthly fee of $7,000 for the services provided under this Contract. This amount will cover all regular maintenance and emergency services as outlined in this Contract.

3.2 Invoices

The Service Provider will issue invoices to the Client on a monthly basis, with each invoice detailing the services rendered during the previous month. Payments are due thirty (30) days from the date of each invoice.

3.3 Late Payments

In the event of late payment, the Client will be charged a late fee of $250 or 5% of the outstanding balance for each month the payment remains unpaid after the due date.


IV. Responsibilities of the Parties

4.1 Responsibilities of the Service Provider

The Service Provider agrees to:

  • Perform all services described in this Contract with due diligence and professionalism.

  • Maintain all necessary certifications, licenses, and qualifications to perform the required maintenance services.

  • Keep accurate and up-to-date records of all maintenance work, including repairs and inspections.

  • Respond to emergency situations in a timely manner.

4.2 Responsibilities of the Client

The Client agrees to:

  • Provide access to all facilities and equipment necessary for the Service Provider to perform maintenance services.

  • Notify the Service Provider promptly of any issues or failures requiring immediate attention.

  • Ensure that the Service Provider has sufficient time to perform the necessary services.

  • Pay all fees in accordance with the Payment Terms set forth in this Contract.


V. Confidentiality and Security

5.1 Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information obtained during the course of this agreement. This confidentiality obligation will survive the termination of this Contract.

5.2 Security and Access

The Client agrees to provide the Service Provider with the necessary security clearances and access to perform the required services. The Service Provider will ensure that all personnel adhere to the security and confidentiality protocols established by the Client.


VI. Termination of Agreement

6.1 Termination for Convenience

Either party may terminate this Contract for convenience by providing no less than thirty (30) days' written notice to the other party.

6.2 Termination for Cause

This Contract may be terminated immediately by either party if the other party materially breaches any of its obligations under this Contract and fails to cure such breach within 30 days of receiving written notice of the breach.

6.3 Effects of Termination

Upon termination, all outstanding payments for services rendered will become immediately due and payable. The Service Provider will return all property and confidential information belonging to the Client.


VII. Indemnity and Liability

7.1 Indemnity

Both parties agree to indemnify and hold harmless each other from any claims, losses, damages, or expenses arising out of the performance of this Contract, except in cases of gross negligence or willful misconduct.

7.2 Limitation of Liability

Neither party will be liable for any indirect, incidental, or consequential damages arising from this Contract. The total liability of either party for any claim under this Contract shall be limited to the total amount paid by the Client for services rendered in the six (6) months prior to the claim.


VIII. Governing Law and Dispute Resolution

8.1 Governing Law

This Contract will be governed by and construed in accordance with the laws of the state of Kentucky, without regard to its conflict of law principles.

8.2 Dispute Resolution

In the event of any dispute under this Contract, the parties agree to first attempt to resolve the matter through informal negotiations. If the dispute cannot be resolved, the parties agree to submit to binding arbitration in Louisville, KY, in accordance with the rules of the American Arbitration Association (AAA).


IX. Signatories

This Agreement is executed by the undersigned authorized representatives of the parties, who affirm that they have the authority to enter into this Contract and bind the respective parties.
