Electrical Maintenance Contract


This Electrical Maintenance Contract ("Contract") is made and entered into on this 2nd day of December 2050, by and between:

Venturex, a company duly organized and existing under the laws of the State of New Mexico, with its principal place of business located at Albuquerque, NM 87101, and represented by Emie Howell, its authorized representative ("Client"), and [Your Company Name], a company duly organized and existing under the laws of the State of New Mexico, with its principal place of business located at [Your Company Address], and represented by [Your Name], its authorized representative ("Service Provider").

Together, the Client and Service Provider shall be referred to as the "Parties."


I. Scope of Services

A. Electrical Maintenance Services

The Service Provider agrees to provide electrical maintenance services ("Services") to the Client for the purpose of ensuring the continued operational integrity and safety of the Client’s electrical systems and equipment as outlined in the attached service schedule.

B. Period of Service

The Services under this Contract shall commence on January 1, 2051, and shall continue for a period of 12 months, unless terminated earlier in accordance with the terms of this Contract.

C. Maintenance Schedule

The Services will be performed according to a mutually agreed-upon maintenance schedule. Service Provider will ensure that all work is performed at times that minimize disruption to the Client's operations.

D. Emergency Services

The Service Provider will be available for emergency services, including but not limited to electrical repairs, troubleshooting, and system failures, with a maximum response time of 4 hours after notification from the Client.


II. Compensation

A. Payment Terms

The Client agrees to pay the Service Provider an amount of $25,000 annually for the Services provided under this Contract, with payments due within 30 days of the invoice date. Payment may be made via check, wire transfer, or another agreed-upon method. All payments should be sent to the following address: [Your Company Address].

B. Late Fees

Any payment not received within 30 days of the due date will incur a late fee of 5% per month on the outstanding balance.

C. Additional Charges

The Client acknowledges that any additional services or repairs outside the scope of the services detailed herein may be subject to additional charges. These charges will be communicated to the Client in writing before proceeding with such services.


III. Termination

A. Termination for Convenience

Either party may terminate this Contract upon providing 60 days' written notice to the other party. Upon termination for convenience, the Client agrees to pay for all services rendered up to the effective date of termination.

B. Termination for Cause

Either party may terminate this Contract for cause if the other party breaches any material term or condition of the Contract, and such breach is not cured within 30 days of receiving written notice of the breach.

C. Effect of Termination

Upon termination of this Contract, all outstanding payments for Services rendered up to the termination date must be paid by the Client. Any equipment or property belonging to the Service Provider that remains on the Client's premises must be returned promptly.


IV. Responsibilities of the Parties

A. Client’s Responsibilities

The Client agrees to:

  1. Provide access to the necessary electrical systems and equipment as needed for maintenance and repairs.

  2. Ensure that the premises are safe and accessible for the Service Provider's personnel.

  3. Notify the Service Provider of any potential issues or system malfunctions in a timely manner.

B. Service Provider’s Responsibilities

The Service Provider agrees to:

  1. Perform the Services in a professional manner, in accordance with industry standards and applicable laws.

  2. Provide qualified personnel to perform the maintenance services outlined in this Contract.

  3. Respond to emergency service requests in a timely manner and make necessary repairs.


V. Confidentiality

Both parties agree to keep all confidential information, including but not limited to business operations, financial information, and technical details, confidential. No confidential information shall be disclosed to any third party without the prior written consent of the other party, except as required by law.


VI. Insurance

The Service Provider shall maintain at all times throughout the term of this Contract appropriate insurance coverage, including but not limited to general liability insurance, workers' compensation insurance, and automobile insurance, in an amount sufficient to cover any damages or injuries arising from the performance of the Services.


VII. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of New Mexico without regard to its conflict of law principles. Any disputes arising from this Contract shall be resolved in the appropriate courts located within New Mexico.


VIII. Dispute Resolution

In the event of any dispute arising from this Contract, the Parties agree to attempt to resolve the dispute through mediation before resorting to litigation. If mediation is unsuccessful, the Parties may seek resolution through arbitration or in a court of competent jurisdiction in New Mexico.


IX. Indemnification

Each party agrees to indemnify and hold harmless the other party from any and all claims, damages, or losses arising out of the negligence or willful misconduct of the indemnifying party, its agents, employees, or subcontractors, in the performance of this Contract.


X. Miscellaneous

A. Entire Agreement

This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral, between the Parties.

B. Amendment

This Contract may only be amended or modified in writing, signed by both Parties.

C. Severability

If any provision of this Contract is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
