Swimming Pool Maintenance Contract
This Swimming Pool Maintenance Contract ("Contract") is made and entered into on this 2nd day of December, 2050, by and between:
DiaLight, a company duly organized and existing under the laws of the State of California, with its principal place of business located at Sacramento, CA 94203, and represented by Kitty Johns, its authorized representative ("Client"), and [Your Company Name], a company duly organized and existing under the laws of the State of California, with its principal place of business located at [Your Company Address], and represented by [Your Name], its authorized representative ("Service Provider").
Together, the Client and Service Provider shall be referred to as the "Parties."
I. Scope of Services
A. Swimming Pool Maintenance Services
The Service Provider agrees to perform routine swimming pool maintenance services ("Services") for the Client’s pool located at the Client's property. These services include, but are not limited to, the following:

Regular cleaning of pool surfaces, including the removal of debris, dirt, and algae.

Inspection and maintenance of pool equipment, including pumps, filters, and heaters.

Testing and balancing of pool water chemistry, including pH, chlorine, alkalinity, and calcium hardness.

Maintenance and cleaning of pool tiles and surrounding areas.

Monthly inspection and servicing of pool safety equipment.
B. Maintenance Schedule
The Service Provider will perform the Services on a weekly basis, with specific dates and times to be mutually agreed upon by the Parties. The Service Provider will notify the Client of any necessary changes to the schedule in advance.
C. Emergency Services
In addition to regular maintenance, the Service Provider will provide emergency services for any unexpected pool issues, including equipment failure, leaks, or water quality concerns. The Service Provider agrees to respond to emergency requests within 48 hours of receiving notice from the Client.
II. Compensation
A. Payment Terms
The Client agrees to pay the Service Provider a fee of $300 per month for the routine swimming pool maintenance services outlined in this Contract. Invoices will be issued on the first of each month and payment is due 30 days from the invoice date. The Client may pay via check, credit card, or other mutually agreed-upon payment methods.
B. Late Fees
If payment is not received within 30 days from the due date, a late fee of 5% per month will be applied to the outstanding balance.
C. Additional Charges
The Client acknowledges that additional charges may apply for any extra services requested beyond the routine maintenance outlined in this Contract. Such services include, but are not limited to, emergency repairs, major equipment servicing, or water quality treatments. The Service Provider will inform the Client of any additional costs in advance of performing such services.
III. Term and Termination
A. Term
This Contract will commence on January 1, 2051, and will remain in effect for an initial term of 12 months unless terminated earlier as provided herein. Upon completion of the initial term, this Contract will automatically renew on a month-to-month basis unless either party gives written notice of non-renewal.
B. Termination for Convenience
Either party may terminate this Contract for any reason by providing written notice to the other party at least 30 days prior to the desired termination date.
C. Termination for Cause
This Contract may be terminated by either party if the other party materially breaches any provision of this Contract and fails to cure such breach within 15 days of receiving written notice of the breach.
D. Effect of Termination
Upon termination of this Contract, the Client agrees to pay for all services rendered through the termination date. If termination occurs before the end of a monthly service period, the Client will be responsible for a prorated portion of the monthly fee.
IV. Responsibilities of the Parties
A. Client’s Responsibilities
The Client agrees to:

Provide access to the swimming pool and equipment for maintenance services.

Ensure the area surrounding the pool is safe and free of hazards that could affect the Service Provider’s ability to perform the Services.

Notify the Service Provider promptly of any issues with the pool or its equipment that require attention outside of regular maintenance.
B. Service Provider’s Responsibilities
The Service Provider agrees to:

Perform all Services in a professional and timely manner, in accordance with industry standards.

Provide qualified personnel to carry out the maintenance and repairs.

Ensure all necessary equipment and chemicals are used in the proper manner to maintain the pool in safe operating condition.
V. Confidentiality
The Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the performance of this Contract. Confidential information may not be disclosed to any third party without the prior written consent of the disclosing party, unless required by law.
VI. Insurance
The Service Provider will maintain, at its own expense, general liability insurance, workers' compensation insurance, and any other insurance necessary to cover any risks or liabilities associated with the performance of the Services. The Service Provider will provide proof of such insurance to the Client upon request.
VII. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. Any disputes arising under this Contract shall be resolved in the courts located within California.
VIII. Dispute Resolution
In the event of a dispute arising from or relating to this Contract, the Parties agree to resolve such dispute through mediation before pursuing any other legal remedy. If mediation is unsuccessful, the Parties agree to resolve the dispute through binding arbitration in California.
IX. Indemnification
Each Party agrees to indemnify and hold harmless the other Party, its officers, employees, agents, and contractors from any claims, liabilities, or damages arising from the negligence or misconduct of the indemnifying Party, its agents, or employees, in connection with the performance of this Contract.
X. Miscellaneous
A. Entire Agreement
This Contract constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
B. Amendment
This Contract may only be amended by a written agreement signed by both Parties.
C. Severability
If any provision of this Contract is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
