Maintenance Service Contract Cost


This Maintenance Service Contract Cost ("Contract") is entered into on this 2nd day of December 2050, by and between:

InnoSpecs, a company duly organized and existing under the laws of the State of California, with its principal place of business located at Long Beach, CA 90801, and represented by Allene Tillman, its authorized representative ("Client"), and [Your Company Name], a company duly organized and existing under the laws of the State of California, with its principal place of business located at [Your Company Address], and represented by [Your Name], its authorized representative ("Service Provider").

Together, the Client and Service Provider shall be referred to as the "Parties."


I. Scope of Services

A. Maintenance Services

The Service Provider agrees to perform the following maintenance services ("Services") for the Client’s property located at Long Beach, CA 90801. These services include, but are not limited to:

  1. Routine inspection and maintenance of systems and equipment.

  2. Cleaning of filters, vents, and HVAC systems.

  3. Inspection and adjustment of electrical components, including circuit breakers and wiring.

  4. Preventive maintenance for machinery or any other equipment on the premises.

  5. Scheduled visits for services as per the agreed-upon timeline.

B. Schedule of Maintenance

The Service Provider will perform the Services on a monthly basis, with visits scheduled for the 1st week of each month. The Parties may mutually adjust this schedule as required.

C. Additional Services

If requested by the Client, the Service Provider may perform additional services not included in the standard maintenance program. The Service Provider will inform the Client in writing of any such additional charges, and the Client must approve them before any services are performed.


II. Compensation and Payment Terms

A. Service Fee

The Client agrees to pay the Service Provider a monthly fee of $500 for the routine maintenance services as specified in this Contract. This fee will cover all agreed-upon Services, as well as any incidental materials or minor repairs required during routine visits.

B. Invoicing and Payment

Invoices will be issued at the beginning of each month. Payment is due 30 days from the invoice date. The Client agrees to pay the Service Provider via check, electronic transfer, or other mutually agreed payment methods.

C. Late Fees

If payment is not received within 30 days of the invoice date, a late fee of 5% per month will be applied to the outstanding balance. The Service Provider reserves the right to suspend services until the outstanding payment is made.

D. Additional Costs

The Client agrees to reimburse the Service Provider for any additional costs incurred for special services or parts required outside of the standard maintenance, including emergency repairs or system upgrades. The Service Provider will obtain the Client's approval in writing before proceeding with any such additional work.


III. Term and Termination

A. Term of Agreement

This Contract will commence on January 1, 2051, and will remain in effect for an initial period of 12 months. After the initial term, this Contract will automatically renew on a month-to-month basis, unless terminated by either Party in accordance with the provisions below.

B. Termination for Convenience

Either Party may terminate this Contract for any reason by providing the other Party with 30 days’ written notice prior to the intended termination date.

C. Termination for Cause

This Contract may be terminated by either Party if the other Party materially breaches any provision of this Contract and fails to cure such breach within 15 days of receiving written notice of the breach.

D. Effect of Termination

Upon termination, the Client agrees to pay for all services rendered up to the termination date. If termination occurs before the end of the monthly service period, the Client will be responsible for a prorated portion of the monthly fee.


IV. Responsibilities of the Parties

A. Client’s Responsibilities

The Client agrees to:

  1. Provide access to all areas requiring maintenance during scheduled visits.

  2. Ensure that all necessary safety precautions are in place for the Service Provider to perform their duties.

  3. Notify the Service Provider promptly of any new or unusual maintenance issues that may arise between scheduled visits.

B. Service Provider’s Responsibilities

The Service Provider agrees to:

  1. Perform all Services in a professional and timely manner, adhering to the standards of the industry.

  2. Ensure that all technicians or personnel performing the maintenance are qualified and trained.

  3. Supply the necessary materials and tools for the maintenance tasks, unless otherwise agreed upon.


V. Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of this Contract. Neither Party will disclose such information to any third party without the prior written consent of the other Party, except as required by law.


VI. Insurance

The Service Provider will maintain adequate insurance coverage, including general liability and workers’ compensation insurance, to cover any risks or damages arising from the performance of the Services. The Service Provider will provide proof of such insurance upon the Client’s request.


VII. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. Any legal actions or disputes arising from this Contract shall be resolved in the appropriate courts located in California.


VIII. Dispute Resolution

In the event of any dispute arising out of or relating to this Contract, the Parties agree to first attempt to resolve the dispute through mediation. If mediation is unsuccessful, the Parties agree to resolve the dispute through binding arbitration in California.


IX. Indemnification

Each Party agrees to indemnify and hold harmless the other Party, its officers, employees, and agents from any claims, damages, or liabilities arising from the negligence or misconduct of the indemnifying Party in connection with the performance of this Contract.


X. Miscellaneous

A. Entire Agreement

This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral, relating to the same.

B. Amendment

This Contract may only be amended by a written agreement signed by both Parties.

C. Severability

If any provision of this Contract is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
