Facility Maintenance Contract

This Facility Maintenance Contract (the "Contract") is entered into as of January 1, 2050 (the "Effective Date"), by and between [Your Company Name], a company having its principal place of business at [Your Company Address] ("Service Provider"), and SkeleTime, a company having its principal place of business at Pittsburgh, PA 15201 ("Client"). Both parties may be referred to herein individually as a "Party" or collectively as the "Parties."

I. Scope of Services

Description of Services

The Service Provider agrees to provide comprehensive facility maintenance services (the "Services") for the Client. These services include but are not limited to:

  1. Routine maintenance of HVAC, lighting, plumbing, and electrical systems on-site.

  2. Emergency repair services as requested by the Client.

  3. Cleaning and waste management of the facility.

  4. Landscaping and exterior maintenance.

  5. Preventative maintenance schedules to minimize downtime and prevent failures.

Performance Standards

All Services shall be performed professionally, in accordance with industry standards, and with the intent to maintain optimal functionality and appearance of the Client’s facility.

II. Term and Termination

Contract Term

This Contract shall commence on January 1, 2050 and continue for a period of 24 months, unless terminated earlier as provided herein.

Termination

This Contract may be terminated by:

  1. Mutual agreement of the Parties, in writing.

  2. Either Party, upon 30 days' written notice, if the other Party breaches any material term of this Contract and fails to remedy such breach within 15 days after written notice of the breach.

III. Compensation

Payment Terms

The Client agrees to pay the Service Provider a total fee of $120,000 for the Services, to be paid as follows:

  1. $10,000 per month, payable on or before the 5th day of each month.

  2. Pay electronically unless otherwise agreed in writing.

Late Payments

A late fee of 5% of the overdue amount will be applied to any payments not received within 10 days of the due date.

IV. Responsibilities

Responsibilities of the Service Provider

  1. Provide all tools, equipment, and materials necessary for the Services.

  2. Ensure personnel are adequately trained and equipped to handle the Services.

  3. Perform Services promptly and minimize disruptions to the Client’s operations.

Responsibilities of the Client

  1. Provide the Service Provider with access to the facility during agreed working hours.

  2. Inform the Service Provider of urgent maintenance needs.

  3. Keep the facility insured and inform the Service Provider about safety protocols.

V. Confidentiality

Confidential Information

Both Parties agree to maintain the confidentiality of proprietary and sensitive information shared during the execution of this Contract. Disclosure to third parties is prohibited without prior written consent, except where required by law.

Survival

This confidentiality obligation shall survive the termination or expiration of this Contract for a period of 5 years.

VI. Liability and Indemnity

Limitation of Liability

The Service Provider shall not be held liable for any indirect, consequential, or incidental damages arising from the provision of Services under this Contract.

Indemnification

The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or liabilities arising from the Client’s negligence or failure to fulfill its obligations under this Contract.

VII. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of Pennsylvania. Any disputes arising out of or relating to this Contract shall be resolved exclusively in the courts of Pennsylvania.

VIII. Notices

All communications and notices required under this Contract shall be sent to the Parties via their respective email addresses:

IX. Entire Agreement
