This Website Maintenance Contract (hereinafter referred to as the "Contract") is entered into on this 1st day of January 2050 by and between [Your Company Name], a company incorporated and existing under the laws of the State of Texas, with its principal office located at [Your Company Address] (hereinafter referred to as the "Service Provider"), and Jake Willms, representing Bridify, with its principal office located at Arlington, TX 76001 (hereinafter referred to as the "Client").
The Service Provider and Client are individually referred to as "Party" and collectively as "Parties."
Website: Refers to the online platform operated and owned by the Client under the domain name specified by the Client.
Maintenance Services: Refers to all work outlined in this Contract, including but not limited to updates, bug fixes, security monitoring, and general upkeep of the Client's website.
Term: The duration of this Contract, as specified herein.
The Service Provider agrees to provide the following services:
Regular updates to software, plugins, and extensions.
Bug identification and resolution.
Security monitoring and implementation of necessary patches.
Regular backups to protect against data loss.
Optimization to ensure the website’s speed and performance.
The following items are excluded from this Contract unless explicitly agreed upon in writing:
Content creation or management.
Major redesign or rebranding.
Hosting or domain renewal services.
This Contract shall commence on January 1, 2050, and remain in effect for a period of one (1) year, unless terminated earlier as outlined below.
Either Party may terminate this Contract by providing thirty (30) days written notice to the other Party. Termination for breach of this Contract may occur immediately upon written notice by the non-breaching Party.
Service Fees: The Client agrees to pay the Service Provider an annual fee of $10,000 USD. Payment is due within fifteen (15) days of receiving an invoice.
Late Payments: A late fee of 5% of the overdue amount shall be applied if payment is not received within the specified period.
Both Parties agree to maintain the confidentiality of any sensitive information shared during the performance of this Contract. This clause shall survive the termination of this Contract.
The Service Provider shall not be held liable for:
Any direct, indirect, incidental, or consequential damages arising from the use or inability to use the website.
Downtime caused by hosting providers or unforeseen circumstances beyond the Service Provider’s control.
This Contract shall be governed by and construed in accordance with the laws of the State of Texas, USA.
