Routine Maintenance Contract
This Routine Maintenance Contract (hereinafter referred to as the "Contract") is entered into on this 1st day of January 2050, by and between [Your Company Name], a company incorporated and existing under the laws of the State of Ohio, with its principal office located at [Your Company Address] (hereinafter referred to as the "Service Provider"), and Jonatan Farrell, representing Grandeco, with its principal office located at Cincinnati, OH 45201 (hereinafter referred to as the "Client").
The Service Provider and Client are individually referred to as "Party" and collectively as "Parties."
I. Definitions

Routine Maintenance: Refers to regularly scheduled inspections, servicing, and necessary repairs of the Client’s equipment, facilities, or systems as outlined in this Contract.

Scope of Work: Specifies the tasks and services the Service Provider is responsible for performing under this Contract.

II. Scope of Services
General Maintenance
The Service Provider agrees to perform the following services:

Conduct periodic inspections to identify potential issues.

Perform routine servicing and minor repairs to maintain functionality.

Replace consumable parts like filters, batteries, or other components as needed.

Keep maintenance records and summarize them for the client upon request.
Exclusions
Unless otherwise agreed in writing, the following items are excluded from this Contract:

Emergency repairs outside of scheduled maintenance visits.

Major system overhauls or upgrades.
-
Replacement of non-routine parts or equipment not covered in this Contract.
III. Term and Termination
Duration
This Contract shall commence on January 1, 2050, and remain in effect for one (1) year, unless terminated earlier in accordance with this section.
Termination

Either Party may terminate this Contract by providing thirty (30) days' written notice to the other Party.

Immediate termination is permitted in cases of breach of Contract, provided written notice is issued detailing the breach.
IV. Payment Terms

Service Fees: The Client agrees to pay the Service Provider an annual maintenance fee of $15,000 USD, payable in quarterly installments.

Payment Schedule: Payments are due within ten (10) days of receiving an invoice from the Service Provider.

Late Payments: Late payments will incur a penalty of 3% per month on the overdue amount.
V. Confidentiality
Both Parties agree that any proprietary or confidential information shared during the course of this Contract shall remain confidential and not be disclosed to any third parties, except as required by law.
VI. Liability and Indemnification

Service Provider Liability: The Service Provider will not be liable for damages caused by equipment failure, loss of revenue, or incidental damages resulting from maintenance activities, except in cases of gross negligence.

Client Indemnification: The Client agrees to indemnify the Service Provider against claims arising from improper use or failure to maintain equipment outside of routine servicing.
VII. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of Ohio, USA.

All notices required or permitted under this Contract shall be made in writing and delivered via email to the respective Parties:

IX. Entire Contract
