Credit Purchase Agreement Layout
Introduction
This Credit Purchase Agreement ("Agreement") is entered into by and between PentaCorp, with its principal place of business at Anchorage, AK 99501 ("Buyer") and CooperLink, with its principal place of business at Long Beach, CA 90801 ("Seller"). The effective date of this Agreement is October 7, 2067.
Definitions
Buyer
The term "Buyer" shall refer to PentaCorp, its successors and assigns.
Seller
The term "Seller" shall refer to CooperLink, its successors and assigns.
Products
The term "Products" shall refer to the goods specified in Exhibit A, which forms part of this Agreement.
Terms and Conditions
Purchase and Sale
The Seller agrees to sell, and the Buyer agrees to purchase, the Products from the Seller under the terms and conditions specified in this Agreement.
Purchase Price
The purchase price for the Products is set forth in Exhibit A. The Buyer shall pay the purchase price on a credit basis as described in this Agreement.
Payment Terms
The Buyer shall pay the full purchase price within 30 days from the date of invoice. The Seller reserves the right to charge a late payment fee as detailed in Exhibit B.
Delivery
The Seller shall ensure delivery of the Products to the Buyer at Anchorage, AK 99501 by October 24, 2067. The risk of loss shall pass to the Buyer upon delivery.
Warranties
The Seller warrants that the Products shall conform to the specifications set forth in Exhibit A. This warranty is in lieu of all other warranties, express or implied.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.
