Customer Credit Agreement
1. Introduction
This Customer Credit Agreement ("Agreement") is made and entered into as of the April 7, 2065 ("Effective Date"), by and between MaraTime, with its principal place of business at Boise, ID 83701 ("Company"), and Talia Jacobs, with a mailing address at Corpus Christi, TX 78401 ("Customer"). The Company and the Customer may be referred to individually as a “Party” or collectively as the “Parties.”
2. Purpose
The purpose of this Agreement is to establish the terms and conditions under which the Company will extend credit to the Customer for the purchase of goods and/or services provided by the Company.
3. Terms and Conditions
3.1 Credit Limit
The Company agrees to provide the Customer with a credit limit of $950,000 for the purchase of goods and/or services. The Company reserves the right to review and adjust the credit limit at its sole discretion.
3.2 Payment Terms
The Customer agrees to pay the outstanding balance in full within 15 days from the date of the invoice issued by the Company. All payments shall be made in USD. Late payments will incur interest charges at a rate of [Interest Rate]% per annum, calculated daily from the due date until payment is made in full.
3.3 Credit Termination
The Company reserves the right to terminate this credit arrangement at any time and demand immediate payment in full of any outstanding balance if the Customer fails to adhere to the terms of this Agreement.
3.4 Dispute Resolution
In the event of a dispute arising from this Agreement, the Parties agree to enter into good faith negotiations to resolve the matter. If a resolution cannot be reached through negotiation, the dispute shall be settled through binding arbitration in accordance with the rules of [Arbitration Association].
4. Representations and Warranties
Each Party represents and warrants that it has the right, power, and authority to enter into this Agreement and to perform all of its obligations hereunder.
5. Miscellaneous
5.1 Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the Parties.
5.2 Amendments
Any amendments or modifications to this Agreement must be in writing and signed by both Parties.
5.3 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflicts of law principles.
